Bill Veatch has extensive transactional experience in the fields of banking, equipment leasing, venture lending and leasing, cross-border leasing, vendor finance, and receivables finance and securitization.

He devotes a substantial portion of his practice to advising financial institutions and company clients on the structuring of global equipment and software vendor programs, including the sale and securitization of receivables. He also advises clients on cross-border and offshore lease structures that are designed to minimize withholding taxes.

Mr. Veatch serves a diverse client base representing U.S. and non-U.S. banks and other institutional lenders and equipment leasing companies in the structuring, documentation, and administration of various forms of complex debt and equity financings, including asset-based and leveraged-lease financings.

He also has worked with clients in the container leasing, pharmaceutical royalty monetization, semiconductor equipment manufacturing and leasing, and timber management industries.

Mr. Veatch is a member of the American Bar Association and the San Francisco Bar Association. He is also a former member of the Uniform Commercial Code Committee of the State Bar of California and a former member of the Legal Committee of the Equipment Leasing Association.

While in law school, Mr. Veatch was a staff member of Hastings International & Comparative Law Review.  He also served as administrative editor of the Manitoba Law Journal at the University of Manitoba School of Law in Winnipeg.

$3.5-billion Securitization.
Represented a major healthcare service and supply provider in sale of $3.5 billion of receivables in the commercial paper market under a securitization facility.
Sale of Receivables.
Represented a global semiconductor equipment company in connection with the sale of Japanese receivables to commercial paper conduits. 
Lease Financing.
Represented a global leasing fund in a cross-border lease financing of technology equipment in the U.S., Canada, UK, France, Germany, Netherlands, and China.
Tideline Capital, Inc.
Represented Tideline Capital, Inc., in developing the first major software receivables securitization facility to come to market. The transaction involved a $100 million securitization facility provided by Wachovia Securities through its commercial paper conduit, back-stopped with $5 million in subordinated debt.
Textainer Group Holdings Ltd.
Represented Textainer Group Holdings Ltd., the world's largest lessor of intermodal containers based on fleet size, in a securitization transaction and issuance of $300-million of floating rate asset-backed notes, and in a $75-million credit facility.
$1-billion Lease Financing.
Representation of a major international aircraft manufacturer in a $1-billion operating lease finance program for the financing of regional jets.
$100-million Securitization.
Represented originator in connection with $100-million securitization of technology trade receivables involving television screens.
Global Vendor Finance and Sales of Receivables
Represented a global software company in connection with its global vendor finance program including sales of receivables to Japanese banks.
