Mr. Forrester’s practice focuses on the representation of public and private companies and investment banks in general corporate and finance matters, with an emphasis on mergers, acquisitions and strategic transactions, public and private securities offerings and corporate governance and compliance.  Mr. Forrester’s experience includes transactions in multiple industries, including, technology, telecommunications, action sports, transportation, hardware, life sciences, pharmaceutical, cleantech, industrial, food service, insurance and financial/banking.

  • Mergers, acquisitions and strategic transactions – Mr. Forrester has represented buyers and sellers in numerous transactions in North America (United States and Canada), Europe (including France, Germany, Italy, Netherlands and the UK) and Asia (including China, Hong Kong, Japan, Singapore and South Korea).Mr. Forrester also regularly represents investment banks providing fairness opinions in connection with such transactions. Mr. Forrester also has assisted companies in acquiring and selling assets under Section 363 of the U.S. Bankruptcy Code and in protecting net operating losses under Section 382 of the Internal Revenue Code in connection with acquisitions or dispositions.

  • Public and private securities offerings – Mr. Forrester has been involved in more than 50 public and private offerings of equity and debt securities (IPOs, follow-ons and private offerings of seed capital, common and preferred stock offerings, convertible and bridge note offerings, term loans and line of credit transactions), including domestic and international offerings, representing issuers, underwriters and placement agents.

  • Corporate governance and compliance – Mr. Forrester has considerable experience representing boards and special committees in complex merger and acquisition and related party transactions. Mr. Forrester also represents public and private companies seeking to develop and maintain best practices in corporate governance. Mr. Forrester also regularly represents companies in their ongoing compliance with the Securities Exchange Act of 1934 and stock exchange requirements.

Mr. Forrester presently is resident in the Firm’s Palo Alto office, but also has been resident in the Firm’s San Diego and Hong Kong offices.  Mr. Forrester is listed as a recommended lawyer by The Best Lawyers in America for 2013; he was recognized by International Financial Law Firm Review (IFLR) as being a leading lawyer in capital markets-equity Hong Kong while practicing full time in Hong Kong; and he was featured in San Diego’s The Daily Transcript as one of the best 10 business lawyers while practicing full time in San Diego. He also was named to the Top 40 Under 40 persons in the Finance Industry by Investment Dealers Digest in December 2007. Mr. Forrester annually co-authors Fiduciary Duties and Other Responsibilities of Corporate Directors and Officers (R.R. Donnelley Capital Markets – publisher). He is a recipient of the American Jurisprudence Award for Securities Regulation.

Mr. Forrester received his B.A. from St. Mary’s College, his J.D., with distinction, from the University of the Pacific McGeorge School of Law, where he also served as managing editor of the law review, and his LL.M. in Securities and Finance Regulation from Georgetown University Law Center.
