The recent financial crisis and subsequent economic uncertainty have resulted not only in historic changes to our financial system, but also rising frustration with executive compensation practices. The Dodd-Frank Act, subsequent rulemaking, and the continued prevalence of shareholder activism have made it more important than ever for companies to focus on how they present their executive compensation story to shareholders. Now is the time to consider how to get ahead of these compensation disclosure issues. This session will discuss say-on-pay, pay-for-performance and pay equity, clawbacks and hedging, the use of independent compensation advisors, and continued SEC staff focus.
