Morrison & Foerster represented Hitachi in the $4.8 billion sale of its hard disk drive and data storage business, Hitachi Global Storage Technologies, to Western Digital. As a result of the transaction, Hitachi will hold a 10% stake in Western Digital and two seats on the Western Digital board. Hitachi is a leading global electronics company headquartered in Tokyo and Western Digital is a data storage company based in Irvine California. The deal closed on March 8, 2012.
Obtaining regulatory approvals was a key aspect of closing this deal and the core antitrust team consisted of partners Stephen Smith, Jonathan Gowdy and Tom McQuail. Partners Kenneth Siegel and Jay Ponazecki led the core closing team. Tokyo partner Stuart Beraha led the TTG closing team.
