Jana Mansour is a partner in the firm’s Project Finance and Development Group and is based in the New York office.  He represents investors, developers and contractors from early-stage consideration through financing, operation and disposition of large-scale infrastructure projects, with an emphasis on the energy sector.

Mr. Mansour has represented investors (sponsors), borrowers and lenders in high value finance transactions involving project finance, leveraged leases and syndicated secured loans. He has dealt with a variety of assets, including gas-fired, nuclear, wind, solar and biofuel power plants, LNG and pipeline assets, mines, transportation infrastructures, aircraft and rolling stock, located in the United States, Mexico, Bolivia, Brazil, Australia, Papua New Guinea, China and several European countries.

Among other aspects of his practice, Mr. Mansour represents developers and contractors in the negotiation of project agreements, including engineering, procurement and construction contracts, operation and maintenance agreements and long term service agreements. He regularly deals with diverse joint-venture and governance arrangements, including joint bidding agreements, consortium, partnership and LLC agreements and shareholders’ agreements. He also has broad experience in the structuring and financing of projects, as well as the purchase and sale of equity interests in such projects.

Mr. Mansour was honored in 2013 as a Project Finance Rising Star by Law360, an honor given to lawyers under the age of 40 whose legal accomplishments belie their age. He was also honored as a Leading Lawyer in the IFLR1000 2013 and recommended by Legal 500 Latin America 2012 in the Projects and Energy: International Firms section. The Legal 500 US 2011 edition described Mr. Mansour as an “outstanding professional, with a brilliant legal mind,” and recommended him for his “extraordinary dedication and great negotiation skills.”

Prior to joining Morrison & Foerster in 2005, Mr. Mansour was an associate in the Project Development, Finance & Leasing Group in the New York office of an Am Law 100 firm.

Mr. Mansour received his LL.B. from the University of Montreal Faculty of Law in 1995 and his LL.M. from Columbia University School of Law in 1999, where he was a Harlan Fiske Stone Scholar. He is a member of the New York and Québec bars and the Law Society of England and Wales.

Mr. Mansour speaks and writes French fluently and has basic skills in Arabic and Spanish.

TVO Olkiluoto 4 Nuclear Power Project.
We represent Toshiba Corporation in connection with its bid to Teollisuuden Voima Oy for the development of a new Advanced Boiling Water Reactor nuclear power plant in Olkiluoto, Finland (OL4).
Fennovoima Nuclear Power Project.
We represent Toshiba Corporation in connection with its bid to Fennovoima Oy for the development of a new Advanced Boiling Water Reactor nuclear power plant in Pyhäjoki, Finland (Hanhikivi 1).
Canadian Wind & Solar Power Projects.
We represented Mitsui & Co., Ltd. in its purchase of a 30% interest in a portfolio of Canadian renewable energy power generation projects owned by GDF SUEZ Canada, composed of 10 wind farms totaling 660 MW and 2 solar photovoltaic power plants totaling 20 MW of generation capacity. The projects are valued at over US $2 billion.
South Texas Nuclear Power Project Units 3 & 4.
We represent Toshiba America Nuclear Energy Corporation (TANE) in its role as EPC contractor for the design and construction of a two unit, 2,800 MW Advanced Boiling Water Reactor nuclear power plant at the South Texas Project in Texas.  Also representing TANE in connection with a vendor financing credit facility made available to one of the owners of the new units at the South Texas Project.
Spinning Spur Wind Power Project.
We represented EDF Renewable Energy (formerly enXco) in connection with the acquisition of the 161 MW Spinning Spur Wind Project in Oldham County, Texas, from Cielo Wind Services, Inc.
Eurus Wind Power Project.
We represented Spain-based Acciona Energia, S.A in the financing of Latin America's largest wind farm - a 250.5 MW facility in the State of Oaxaca, Mexico. The $375 million debt financing was provided by a syndicate of multilateral and state lending institutions, including IFC, IDB, CAF, France's Proparco, Germany's DEG, Spain's ICO, and Mexico's Bancomext and NAFIN. This was also the first project to receive a loan from the World Bank's new Clean Technology Fund.
Hu Honua Bioenergy Project.
We represent the project company in connection with the negotiation of design, procurement and construction contracts for the development of a 24 MW biomass power plant on the Big Island of Hawaii.
San Cristobal Mining Project.
We represent Sumitomo Corporation in its purchase, development, financing and operation of Minera San Cristóbal S.A., which owns and operates one of the largest silver, zinc and lead mines in the world, located high in the Andes in Southwestern Bolivia. Sumitomo purchased a portion of its interest in a pre-arranged bankruptcy sale that closed within 71 days of the debtor's bankruptcy filing.
Arizona Solar Power Project.
We represented a solar panel manufacturer in connection with the negotiation of the engineering, procurement and construction contract for the development of a photovoltaic power plant in Arizona.
Mexican Power Stations and Pipeline Acquisition.
We represented Mitsui & Co., Ltd. and Tokyo Gas Co., Ltd. in their $1.2 billion acquisition of a controlling interest in five gas-fired combined cycle power stations in Mexico with an aggregate total generating capacity of 2,233MW and a related gas pipeline company, and in connection with the financing for such acquisition.
Manzanillo LNG Regasification Terminal.
We represented a bidder for the contract to build, own, and operate a 500mcfd LNG regasification terminal to be located in Manzanillo, Mexico.
Valladolid III Consortium.
We represent the Valladolid III Consortium (Mitsui and Chubu Electric) in the development and financing and ongoing operations of the 525 MW Valladolid III natural gas-fired electrical power facility in Mexico.
Papua New Guinea LNG Liquefaction Terminal.
We represented one of the sponsors in connection with the negotiation of the shareholders’ agreement for the development and operation of liquefaction and associated facilities in Papua New Guinea for the export of LNG.
El Bajio IPP Project.
We represented Tokyo Gas in the restructuring of the 600 MW El Bajio power project in Mexico.
