Luke Bagley primarily counsels sponsors and management teams of private funds with respect to fundraising and subscriptions, U.S. securities laws and regulations, and fund formation, administration and operations. Mr. Bagley and the other members of the firm’s Investment Management Group and Private Equity Fund Group have offered clients fund structures to accommodate the legal, regulatory, and tax needs of individual, corporate, pension plan, nonprofit and non-U.S. investors. Mr. Bagley has experience working with hedge, infrastructure, real estate, private equity and funds of funds.
Mr. Bagley also advises investment companies and investment advisers in regulatory matters involving compliance, corporate governance and operations, among other things. He advises new and experienced private fund sponsors on structuring and marketing their funds to maximize their appeal to potential investors. Mr. Bagley’s practice generally draws upon his expertise in U.S. securities laws, including the Investment Advisers Act of 1940, the Investment Company Act of 1940, as well as relevant portions of the Commodity Exchange Act and ERISA. He also advises on all aspect of registration and the compliance programs of SEC registered investment advisers (and investment advisers registered under the Blue Sky laws of certain key states).
In addition to his work with the Investment Management Group and Private Equity Fund Group, Mr. Bagley has acted as counsel to buyers and sellers of individual and portfolios of private equity fund “LP” interests, including one bank that disposed of a portfolio of over $300 million of LP commitments to a number of different purchasers over a multi-year period to satisfy the Volcker Rule requirements. Mr. Bagley also provides general corporate outside counsel, and has advised various companies in connection with corporate matters arising from out of court restructurings and emergence from bankruptcy.
While earning his J.D. at Fordham University School of Law, Mr. Bagley was a member of the Fordham Urban Law Journal. Mr. Bagley received his J.D. from Fordham University School of Law in 2009 and his L.L.M. in Taxation from New York University School of Law in 2010.
