Matthew T. Shiels is an Associate in the Tax Department, and a member of the Compensation, Benefits + ERISA Practice Group. His practice involves the negotiation and drafting of employment agreements, severance agreements, bonus, incentive and equity arrangements, deferred compensation plans and other compensation arrangements, including compliance with Sections 409A and 280G. His practice focuses on advising clients in a number of corporate transactions, including mergers and acquisitions, bankruptcies, spinoffs, IPOs, buyouts and sales. He also has experience with qualified and nonqualified plans, individual retirement accounts, wage laws, penalty assessment (by the Department of Labor and Internal Revenue Service), treatment of benefit plans in bankruptcy and complex ERISA issues involving fiduciary duties and prohibited transactions.
