Michelle Jewett is an associate in Morrison & Foerster's San Francisco office, practicing in the area of federal income taxation. Ms. Jewett has substantial experience in a broad range of tax matters, including corporate, mergers and acquisitions, partnership, financial institution, real estate investment trust, and insurance tax issues in both domestic and international contexts. Ms. Jewett routinely structures all types of corporate and partnership transactions and financial products, including those involving foreign entities, limited liability companies, REITs, and tax-exempt organizations such as pension funds and foundations.

Ms. Jewett's practice is focused on providing tax advice for structuring cross-border taxable and tax-free M&A transactions, acquisitions and dispositions, domestic and foreign private equity investments, real estate investments by taxable and tax-exempt entities, mortgage-backed securities and other securitization transactions, leveraged leasing, foreign investments in the U.S., outbound investments by domestic companies, bankruptcy and debt workouts, Cleantech investments and life settlements.  Ms. Jewett has structured numerous cross-border arrangements for both U.S. and foreign investors, including U.S. and foreign private equity funds, real estate funds, timber funds, and hedge funds.

In providing advice to clients, her approach is to try to distill complex tax concepts into a simple set of principles that can be readily understood, based on the sophistication of the client.
