Saori Nakamura, a partner of Ito & Mitomi, represents both Japanese and international clients on a wide variety of corporate and commercial transactions domestically in Japan and internationally.
Ms. Nakamura counsels acquisitions of publicly-traded companies, domestic and global tender offers for both Japan and foreign companies, spin-offs, restructurings, purchase and sale of distressed business, and international joint ventures and strategic alliances. She represents private equity funds based in and outside of Japan for their investments in Japanese companies.
Ms. Nakamura represents issuers and underwriters in global equity offerings, "Samurai" bond offerings and J-REIT equity and debt offerings. She assists Japanese issuers in connection with structured convertible bonds and corporate refinancing.
