Notwithstanding a pleasant uptick in early-stage investing in 2010 and early 2011, later-stage venture financings continue to employ mechanics designed to incentivize investment behavior, address valuation realities and realign cap tables. A majority of the effort in these financings can be spent architecting financing mechanics and constructing and analyzing the resultant pro forma cap tables.
