Stuart Beraha is a partner in the Technology Transactions Group of Morrison & Foerster’s Corporate Department, resident in the Tokyo office. Mr. Beraha has broad experience in technology, content, branding and other intellectual property development, licensing and partnering transactions. His work includes the structuring and negotiation of joint venture and strategic alliance transactions and related agreements; technology, software and content licenses and assignments; e-commerce, search and other Internet-related transactions; development, joint development, consulting and outsourcing agreements; patent assignments and licenses; trademark licenses and related branding agreements; the intellectual property components of merger and acquisition transactions; and other transactions relating to the transfer of technology and other types of intellectual property.
Mr. Beraha is recognized in the field of Intellectual Property in the Chambers Global 2013 edition, Chambers Asia Pacific 2013 edition, The Legal 500 Asia Pacific 2013 edition, and in the Best Lawyers 2013 edition. He is also “recommended” in Intellectual Asset Management’s IAM Patent 1000: The World’s Leading Patent Practitioners in the licensing category for its 2012 and 2013 editions.
Examples of Mr. Beraha’s recent transactions include representing Hitachi in the sale of its global hard disk drive business to Western Digital; representing Fujitsu in its global strategic alliance with Oracle America (formerly Sun Microsystems), in which the two companies combined their world-wide UNIX server businesses; representing Toshiba in its semiconductor patent license with Micron and its flash memory alliance with M-Systems (including as to R&D agreements, semiconductor manufacture and supply agreements and patent and technology license agreements); representing Softbank in Alibaba’s restructuring of its holdings in Alipay; representing Hitachi in its acquisition of IBM’s global hard disk drive business; representing Yamaha in its strategic alliance with Nexo S.A. for the development, manufacturing and distribution of professional audio equipment; representing SBI in the license and supply arrangements for SBI Biotech's development and commercialization of cancer treatment vaccines in Japan based on BRI's technology; representing NTT Holdings in its joint venture with NTT-ME and Internap Network Services to provide high-speed Internet connectivity services in Japan; representing Yahoo Japan in its sponsored and algorithmic search transactions with Google, previous sponsored search transactions with Overture, including the acquisition of Overture KK and in a series of other search-related and commercial transactions; representing ACCA Networks in its strategic alliance with NTT Communications and Covad Communications to provide ADSL services in Japan; and representing Sega in its first two licenses of massively multiplayer online games for the Chinese market.
Mr. Beraha is a member of Dai-ni Tokyo Bar Association. Mr. Beraha received his B.A. degree in English and Philosophy, Phi Beta Kappa and with High Distinction, from the University of Michigan.
