Ms. Dunn represents public and private enterprises in corporate financial transactions, including: public offerings and private placements of equity and debt securities; bank credit financings; structured financings and other capital markets transactions; and venture capital financings. She has represented financial and strategic buyers and sellers in complex mergers, acquisitions and reorganizations, as well as representing NYSE and NYSE-Amex listed companies in U.S. and international equity offerings and registered tender offers. Ms. Dunn also has represented U.S. and foreign public companies in corporate governance matters and all aspects of registration and reporting under the Securities Act of 1933 and the Securities Exchange Act of 1934.

At the University of Denver Law School, Ms. Dunn served as Business Editor of the University of Denver Law Review and was elected to the Order of St. Ives. After obtaining her law degree, Ms. Dunn published “The Developing Theory of Good Faith in Director Conduct: Are Delaware Courts Ready to Force Corporate Directors to Go Out-of-Pocket after Disney IV?,” which was cited in In re The Walt Disney Derivative Litigation, 906 A.2d 27, 64 (Del. 2006). Prior to obtaining her law degree, Ms. Dunn co-founded Great Divide Brewing Company in Denver, where she served as Director and Senior Vice President from 1994-2005.

Ms. Dunn was named as a Colorado Super Lawyers Rising Star in 2009 and 2013 and is a graduate of Leadership Denver, 2009. She is a member of Morrison & Foerster’s pro bono committee and serves on the board of directors of the Denver Metro Chamber Leadership Foundation.
