The market for initial public offerings (IPOs) is expanding at an impressive rate, in part due to the Jumpstart Our Business Startups Act (JOBS Act). Since the introduction of the JOBS Act in April 2012, the SEC has released guidance concerning the implementation of a number of provisions, and market practices have evolved for conducting emerging growth company IPOs under the JOBS Act’s IPO “on-ramp” provisions. This program on the JOBS Act examines the implementation of the JOBS Act, recent developments under the JOBS Act, and the IPO on-ramp’s impact on how IPOs are conducted today.

Topics include:

  • determining emerging growth company status
  • SEC’s process for confidential submissions of draft registration statements
  • utilizing test-the-waters communications
  • practices with disclosure and governance accommodations
  • emerging growth company exchange offers, mergers, and spin-offs
  • research practices for emerging growth company IPOs
