Tom Knox is a partner in the firm's Corporate Department, Global Sourcing Group, and Technology Transactions Group. He also serves as the Co-Chair of the firm’s East Coast / Europe Corporate Practice.

On corporate matters, Mr. Knox represents a wide variety of technology and life sciences companies, including large global multinational companies, mid-cap public companies, and high-growth emerging companies. He advises on equity and debt financings of all kinds, including public offerings, private placements, venture capital transactions and private equity deals; on mergers and acquisitions, including strategic acquisitions and dispositions; on complex joint venture and partnering transactions; and on corporate governance, process and restructuring matters. Mr. Knox also represents institutional, corporate and private investors, including venture capital funds, investment banks and angel investors, in financing, acquisition, restructuring, disposition and other transactions.

In his global sourcing practice, Mr. Knox structures and negotiates a wide variety of enterprise realignment and optimization transactions, including traditional and vested sourcing deals, strategic alliances, performance partnerships, preferred supplier arrangements and other complex transactions. He advises on the sourcing of facilities management, logistics, HR, IT, financial & accounting, and other business processes. He works with client constituencies, consultants and service providers to create optimal solutions that are tailored to meet the needs of each particular client and situation.

Mr. Knox’s technology transactions practice includes the structuring, negotiation and implementation of intellectual property license, acquisition and disposition agreements; electronic commerce and e-business deals; terms of service, clickwrap agreements and privacy policies; onshore, offshore and near-shore development, sevice and management contracts; OEM, reseller, dealer and other distribution arrangements; and joint venture and strategic alliance deals.

Mr. Knox counsels clients in a variety of industries, including information services, financial services, enterprise and consumer software (including social networking apps), internet infrastructure, security, telecommunications, pharma, medical equipment, high-precision manufacturing, aviation and government services. Representative company clients include Acterna (acquired by JDSU), Avioserv, Booz Allen Hamilton, CaridianBCT (acquired by Terumo), Cigital, COE, Howard Hughes Medical Institute, Hughes Communications, Imagenomic, INPUT (acquired by Deltek), IQM (acquired by CACI), Lafarge, Mission EP, Netuitive, NexPoint Communications (acquired by GENBAND), Novartis, Sandoz, Sourcefire, Veeco Instruments and webMethods (acquired by Software AG). Representative investor clients include Core Capital, Corstone Capital, Edison Ventures, Goldman Sachs, New Enterprise Associates, Novartis and Veeco Instruments.

Mr. Knox holds the AV (Preeminent) rating from Martindale Hubbell, has been listed by the independent rating firm Chambers as a Band 1 Leading Individual, was named by the Washington Business Journal as Washington’s Top Corporate Finance Lawyer and has been named to the Virginia Super Lawyers, Washington DC Super Lawyers, U.S. News-Best Lawyers in America, and Legal 500 US lists.

Mr. Knox is a frequent speaker on corporate, sourcing, licensing, e-commerce, open source and cybersecurity topics. He has served as an Adjunct Professor of Law at Georgetown University and as a guest lecturer at Johns Hopkins University, the University of Maryland, the University of Michigan Law School and Middlebury College. He has been a member of the Board of Trustees of Middlebury College, is currently a member of the Board of Directors of the Business Council for International Understanding, and is a volunteer astronomy teacher at Wood Acres Elementary School in Bethesda, Maryland.
