Bill Schuerman is an associate in Morrison & Foerster's Corporate and Technology Transactions Groups, resident in the firm's Northern Virginia office.
Mr. Schuerman's technology transactions practice involves advising clients on the development, commercialization, and licensing of technology. He frequently negotiates software license and development agreements, Software as a Service (SaaS) agreements, resale and distribution agreements, non-disclosure agreements, and professional services agreements.
Mr. Schuerman also represents clients with respect to their enterprise realignment and optimization transactions, including domestic and offshore sourcing and procurement initiatives, strategic alliances and joint ventures, and preferred supplier arrangements. He has experience negotiating and implementing technology, development, and procurement initiatives through information technology, business process, and facilities management outsourcing transactions.
On corporate matters, Mr. Schuerman advises clients on equity and debt financings, mergers and acquisitions, and general corporate matters. He has substantial experience advising on the intellectual property aspects of M&A and financing transactions, including evaluating the intellectual property portfolios of companies and negotiating and drafting ancillary license and transition services agreements.
Mr. Schuerman received his B.S. degree, cum laude, from Cornell University and his J.D. degree from the Ohio State University Moritz College of Law, where he was a senior editor for the Journal of Law and Policy for the Information Society.
