Mr. de Groot is the Co-Chair of the firmwide Emerging Company and Venture Capital Group and serves on the Executive Committee of Morrison & Foerster’s Cleantech Group. He has represented both public and private companies as well as venture capital funds and investment banks for over 20 years in the life sciences sector, including biotechnology and medical devices, and the technology sector, including software, information technology and communication technology.
Mr. de Groot’s practice includes venture capital financings, venture fund formation, public securities offerings, mergers and acquisitions, and corporate partnering and commercial arrangements. Mr. de Groot has consummated over 100 venture financings and over $1 billion in merger and acquisition transactions. For example, in the last two years, Mr. de Groot completed several of the largest venture financings in the United States - $55 million Series J financing by Acorda Therapeutics (investors counsel), $55 million Series D financing by Santarus (company counsel), $48 million Series B financing by Hypnion (investors counsel), $43 million Series C financing by Predix Pharmaceuticals (investors counsel), $41 million Series C financing by CancerVax (investors counsel), $33 million Series B financing by Kemia (company counsel), $25 million Series A financing by Kanisa Pharmaceuticals (company counsel) and $21 million Series A financing by Cadence Pharmaceuticals (company counsel). In 2003-2004, Mr. de Groot also represented Digirad in its $66 million initial public offering as company counsel, Santarus in its $54 million initial public offering as company counsel, Banc of America Securities and Lehman as underwriters in the $82 million initial public offering of Nuvasive, and Chiron in its $50 million collaboration and $10 million PIPE financing with Cubist.
Mr. de Groot represents a number of venture-backed companies, such as AnalgesiX, Cell Biosciences, Imagine Pharmaceuticals, Kanisa Pharmaceuticals, NovaRX and SkinMedica, privately held companies such as General Atomics, as well as publicly traded companies, such as Agenix, Chiron, Digirad and Invitrogen. He also represents a number of venture funds including serving as primary outside counsel to Forward Ventures – a $500 million life sciences fund for which Mr. de Groot has completed over 20 financings in the last three years. Mr. de Groot has also represented Alta Partners, CDIB Biosciences, Enterprise Partners, Hamilton Apex Technology Partners, IngleWood, Novartis, Texas Pacific Group and Windamere in various venture financings.
Mr. de Groot was recognized by his peers in the 2004/05 Global Counsel Handbook as one of the only 15 attorneys in the United States designated as a “Highly Recommended Practitioner - Life Sciences Corporate and Commercial.”
In addition to his law firm experience, Mr. de Groot has significant business experience. From 1995 through 2000, Mr. de Groot was Senior Vice President and General Counsel of two large medical device and software companies, ALARIS Medical Systems and IVAC Medical Systems, where he was responsible for the corporate development and legal functions. ALARIS is a $550 million publicly traded medical device and software company formed by the merger in 1996 of IVAC Medical Systems and IMED with 2,500 employees doing business in 120 countries. IVAC was a $250 million privately held medical device and software company acquired in a leveraged buyout in 1995 by Donaldson, Lufkin and Jenrette and River Medical from Eli Lilly.
Mr. de Groot received his BBA, magna cum laude, from the University of Notre Dame in 1977 and his J.D., with distinction, from the University of Notre Dame in 1983. From 1977 through 1980, Mr. de Groot was a Certified Public Accountant with KPMG. Mr. de Groot serves on the Board of Directors of the UCSD Cancer Institute and Morrison & Foerster.

- Represented Digirad in its $66,000,000 initial public offering with Merrill Lynch, JP Morgan, Banc of America Securities and William Blair as underwriters and represented Banc of America Securities, Lehman, Thomas Weisel Partners and William Blair in the $82,000,000 initial public offering of Nuvasive.
- Represented Santarus in a $55,000,000 Series D financing, Kemia in a $33,000,000 Series B financing, Kanisa Pharmaceuticals in a $25,000,000 Series A financing and Cadence Pharmaceuticals in a $21,000,000 Series A financing.
- Represented Forward Ventures in a $55,000,000 Series J financing by Acorda Therapeutics, a $48,000,000 Series A financing by Hypnion, a $43,000,000 Series C financing by Predix Pharmaceuticals and a $41,000,000 Series C financing by CancerVax.
- Represented Skin Medica in its $36,000,000 acquisition of the Vaniqa product line from Women First Healthcare out of bankruptcy and Geneformatics in its $90,000,000 merger with Structural Bioinformatics.
