Taylor L. Stevens is a partner with the San Diego office of Morrison & Foerster LLP. He has a general corporate and securities practice with an emphasis on emerging growth and established technology and life sciences companies. His experience includes the representation of numerous public and private companies in corporate and financing matters, including IPOs and follow-on offerings, as well as private equity financings, mergers and acquisitions of public and private companies, and counseling of public companies in corporate governance and disclosure matters. Mr. Stevens has worked with companies in a variety of industries, including software, semiconductor, medical device, biopharmaceutical, information services, entertainment and consumer products. Prior to joining Morrison & Foerster, Mr. Stevens was an associate with Brobeck, Phleger & Harrison LLP.
Mr. Stevens has assisted in mergers and acquisitions of a number of companies, including the representation of Kana Software in its $4.1 billion acquisition of Silknet Software, Live Nation in connection with its $350 million acquisition of House of Blues Entertainment, Solarflare Communications in connection with its $100 million acquisition of Level 5 Networks and Kratos Defense in connection with its $90 million acquisition of Haverstick Consulting.
He also has assisted in various issuer and underwriter-side capital markets transactions, including company-side offerings for Digirad Corporation, Endocare, Genius Products, Kana Software, Kintera and Santarus. Mr. Stevens has also represented a number of underwriters, including Bear Stearns & Co., Banc of America Securities, CIBC World Markets, Cowen & Company, Credit Suisse First Boston, JP Morgan, Lehman Brothers, Piper Jaffray, Merrill Lynch & Co., Needham & Company and Thomas Weisel Partners.
Mr. Stevens has regularly assisted in venture capital transactions, including representing Santarus in connection with its $55 million Series D financing, Solarflare in connection with its $48 million Series A-1 financing and recapitalization, NovaRx Corporation in connection with its $33 million Series D financing, Kanisa Pharmaceuticals in connection with its $22 million Series A financing and Cadence Pharmaceuticals in connection with its $20 million Series A financing. Mr. Stevens has also represented a number of venture capital firms, including Forward Ventures and Enterprise Partners.
Mr. Stevens received his B.A., with honors, in Economics from the University of California, Berkeley in 1993 and received his J.D. and M.B.A. from Santa Clara University in 1998. He is admitted to practice in California.
