Scott M. Stanton is a partner in the Corporate Department of the San Diego office of Morrison & Foerster LLP. He has significant experience in mergers and acquisitions, securities offerings, and other corporate matters. Mr. Stanton has represented both issuers and underwriters in a wide variety of securities transactions, including IPOs, secondary offerings, and private placements. He regularly advises clients on compliance with federal securities laws and corporate governance. Mr. Stanton represents buyers and sellers in acquisitions and dispositions of public and private companies, including transactions in industries such as biometrics, semiconductors, biotechnology, software, and defense. Mr. Stanton was selected as a top attorney by his peers in The Best Lawyers in America 2007and 2008® in the field of mergers & acquisitions law. In 2003, he was named one of the Top 20 Lawyers Under 40 in California by the Los Angeles Daily Journal.

Mr. Stanton received his B.A. from Stanford University (Political Science, 1988) and his J.D. from the University of California, Davis School of Law (1993). Mr. Stanton is admitted to practice in all California state and federal courts.

  • Represented Kratos Defense & Security Solutions in its $90 million acquisition of Haverstick Consulting, Inc.
  • Represented Intergy Corporation in its $16 million acquisition by Willdan Group, Inc.
  • Represented Cogent, Inc. in its acquisition of the Security Solutions Division of MAXIMUS.
  • Represented Kratos Defense & Security Solutions in the divestitures of its wireless and engineering operations to Platinum Equity and LCC International, respectively.
  • Represented TouchDown Technologies, Inc. in its $28 million Series D financing.
  • Represented SolarFlare Communications in its $26 million Series B-1 financing.
  • Represented Pepperball Technologies in its merger of equals with Security With Advanced Technology, Inc.
  • Represented Cogent, Inc. in its investment and development agreement with ANP Technologies, Inc.
  • Represented Inamed Corporation in its $3.4 billion merger with Allergan Inc.
  • Represented Cogent, Inc. in its $248 million initial public offering on the NASDAQ National Market in September 2004 and its $322.5 million follow-on equity offering in 2005.
  • Represented Kintera, Inc. in its $20 million, $17.5 million, and $13.5 million private common stock financings in July and December 2004 and December 2005.
