Lawrence T. Yanowitch is a partner in the Northern Virginia office of Morrison & Foerster and Co-Chair of the Global Mergers & Acquisitions Group.

Mr. Yanowitch concentrates his practice on mergers & acquisitions, corporate finance and corporate counseling. He predominantly represents emerging companies (both public and private), investment banks and institutional investors.

He has completed hundreds of M&A transactions in his career with purchase prices ranging from $5 million to over $5 billion. His M&A experience includes tax-free reorganizations, asset transactions, negotiated and unsolicited tender offers, proxy fights, leveraged buyouts and joint ventures. Mr. Yanowitch also has extensive corporate finance and securities law expertise including registered public offerings of debt and equity (including initial public offerings), PIPEs, venture capital financings, international offerings, exchange offers and corporate restructurings. A significant portion of Mr. Yanowitch’s practice involves counseling for ongoing clients on matters such as SEC compliance, securities and disclosure issues and corporate governance matters.

For the past three years, Mr. Yanowitch has been named a Leading Lawyer in Corporate/M&A in the Chambers USA Guide to America’s Leading Business Lawyers directory published by Chamber & Partners Publishing. He was also named the Top Corporate Mergers & Acquisitions Lawyer in 2006 and 2007 by the Washington Business Journal. He often lectures and appears on panels involving M&A topics. He received his B.A. and J.D., cum laude, from Georgetown University. Mr. Yanowitch is admitted to practice in the District of Columbia, New York, and Virginia.
