Dan Max counsels clients on corporate and securities matters in a wide variety of major corporate transactions, with an emphasis on technology, government contracting and emerging growth-oriented businesses. He has represented public and private clients engaged in (1) mergers and acquisitions, including asset, stock and merger transactions, divestitures, taxable and tax-free transactions, management and leveraged buyouts, transactions involving business divisions, majority control acquisitions, squeeze-outs, joint ventures and others, (2) financings, including early stage and venture capital financings, revolving and term credit facilities, senior and subordinated, secured and unsecured, preferred stock and other convertible debt financings, recapitalizations and other private placements and (3) general corporate matters, such as advising boards of directors on fiduciary obligations and Sarbanes-Oxley requirements, negotiating commercial contracts and counseling on choice of entity issues, capitalization matters, stock incentive plans, option agreements, restricted stock arrangements and executive employment agreements. Mr. Max also has experience in representing clients in connection with the settlement of commercial disputes and litigations, including squeeze-out transactions, deadlock situations, indemnification claims and employee terminations.
