Michael Hagan focuses on mergers & acquisitions, strategic alliances, corporate transactions, securities offerings and project finance. Mr. Hagan advises U.S., Asian, European, Middle Eastern, and Latin American companies on their investment activities in the U.S., including stock and asset acquisitions, joint ventures, and corporate reorganizations.

Mr. Hagan represents domestic and foreign issuers and advises on public and private capital formation involving offerings of debt and equity securities. His transactional practice focuses frequently on cutting edge cross-border investment and structure planning. His clients come from a wide variety of industries and regions. They include commercial and investment banks, governmental and quasi-governmental investment institutions, private equity funds, and private sector businesses across a range of commercial activities, including manufacturing, construction, pharmaceuticals, consumer goods, information technology, and telecommunications.

Mr. Hagan is a member of a number of professional business organizations, including the Association of the Bar of the City of New York, the Brazilian-American Chamber of Commerce, the United States Council of International Business, and the British-American Business Council.

Prior to joining the firm, Mr. Hagan practiced at Coudert Brothers, where he established its Vietnam office in 1994, one of the first U.S. law outposts there.

CoActiv Capital Partners\' Acquisition of Partners Equity Capital Company.
Represented Marubeni America Corporation, Marubeni Corporation of Japan\'s largest overseas subsidiary, in the acquisition by its wholly-owned subsidiary, CoActiv Capital Partners LLC, of substantially all the assets of Partners Equity Capital Company LLC, a Horsham, PA-based private-label lease financing company.
Marubeni\'s Acquisition of Intragrated Resources Holdings.
Represented Marubeni America Corp., and its subsidiary, CoActiv Corp., in the acquisition of certain assets from Partners Equity Capital Company relating to the leasing business on PECC. The transaction was successfully structured to segregate out, and protect the client from any exposure to, a particular business segment of PECC that was the subject of approximately 260 private law suits and 31 state attorney general's action.
