Jonathan E. Kahn is a partner in the Capital Markets Group of Morrison & Foerster’s New York office. Mr. Kahn concentrates on corporate finance transactions and securities matters.

Mr. Kahn has represented investment banks and issuers in a full range of securities transactions, including Rule 144A high-yield debt offerings, initial public offerings, secondary offerings, private placements of equity and debt securities, debt tender offers, consent solicitations and exchange offers.  His practice also includes the representation of companies in connection with general corporate and securities matters.

Some of Mr. Kahn’s recent representations include:

  • Initial purchasers in high yield bond offerings;
  • A parking facility management services company in its initial public offering and its exchange offer of high yield debt;
  • A biopharmaceutical company in its private placement of convertible notes;
  • A biopharmaceutical company in a shelf registration statement and a number of public offerings of its common stock;
  • A biopharmaceutical company in a number of private placements and PIPES;
  • A manufacturing company in a number of 144A note offerings; and
  • Private and public companies in tender offers and consent solicitations.

Prior to joining Morrison & Foerster, Mr. Kahn was a partner at the law firm of White & Case. He received his J.D. from Georgetown University Law Center in 1990 and his B.A. from Emory University in 1986. He is a member of the bar of New York.
