Rachel B. Coan is a partner in the Capital Markets Group in Morrison & Foerster’s New York office. Ms. Coan represents enterprises in the insurance, reinsurance and financial services industries. Her practice involves the representation of issuers, sponsors, purchasers and collateral managers in all aspects of asset-backed offerings. She also advises underwriters, placement agents, other financial intermediaries and issuers in transactions that typically involve the issuance of hybrid securities, innovative financial products, structured products and derivatives.

Ms. Coan is a member of the Association of the Bar of the City of New York and of the Structured Finance Subcommittee of the Federal Regulation of Securities Committee of the American Bar Association, Business Law Section.

Prior to joining Morrison and Foerster, Ms. Coan was a partner in the New York office of LeBoeuf, Lamb, Greene & MacRae LLP.



Representative Matters
  • Represented a major investment bank in structuring and implementing a series of securitized life insurance premium finance programs involving issuance of over $3 billion of senior debt securities.

  • Represented one of the largest public U.S. insurance companies in a structured finance transaction involving the reinsurance of a closed block of life insurance policies by a newly formed Bermuda reinsurer with a capitalization of $460 million backed by, among other collateral, a guaranteed investment contract and financial guaranties.

  • Represented a major U.S. investment bank in structuring and launching a new structured finance product designed to provide a cost-efficient non-insurance equivalent of supplemental directors and officers liability insurance through the use of credit-linked notes and other derivatives.

  • Represented Aon Corporation in a novel private equity securitization involving the issuance of $500 million in senior and subordinated notes under Rule 144A and Regulation S.

  • Represented a variety of underwriters and issuers in the insurance and energy industries in connection with the public offering of various hybrid securities.
