Mr. Campbell is co-chair of Morrison & Foerster’s 140-lawyer Life Sciences Group. His practice focuses on the representation of rapidly growing high-technology and other companies and venture capital and investment banking firms in securities, mergers and acquisitions, and strategic alliance matters. He has represented companies, investors, and financial intermediaries in hundreds of equity and debt financing transactions ranging from seed investments in start-up companies to public offerings of equity and debt securities. Mr. Campbell has advised on more than 40 public offerings in his career, and dozens of other public capital markets transactions including PIPEs, registered directs, and underwritten secondary offerings.

Mr. Campbell’s clients include ABB, Inc., Astellas, Chiron Corporation, CoTherix, Inc., Epitomics, Targa Therapeutics, InterCell AG, Tanox, Wafergen, Concuity, JDS Uniphase Corporation, Amber Networks, InvenSense, ZMOS Technology, American Pacific Corporation, Century Theatres, Textainer, and Westaff, Inc. Mr. Campbell regularly represents venture capital firms in making investments in the information technology and life sciences industries, including Artiman Ventures, Alta Partners, Bay Partners, Claremont Creek Ventures, InterWest, Frazier Healthcare Ventures, Softbank Life Science Ventures, Fremont Communications, Defta Partners, Partech, BankAmerica Ventures, HBM Bioventures, New Medical Enterprises, and Pacific Venture Group, and investment banking firms such as A.G. Edwards & Sons, Inc., Deutsche Banc, JP Morgan Chase, Wachovia Securities, SG Cowen Securities, and BancAmerica Securities in underwriting and advisory assignments.

Mr. Campbell’s transactional practice has encompassed a large number of merger and acquisition representations, including tender offers, special committee assignments, and traditional negotiated transactions. He represented Textainer in its acquisition of Capital Leasing, Century Theatres in its acquisition by Cinemark and Madison Dearborn, BEA Systems in its acquisition of Plumtree Software, Oren Semiconductors in its acquisition by Zoran, The Investment Office of Dubai and Milestone Group in the acquisition of the privatized Walden REIT, Sage, Inc., in its acquisition by Genesis MicroChip and its acquisition of Faroudja Laboratories; JDS Uniphase in its acquisitions of Optical Coating Laboratories, Inc., eTek, Inc., and SDL, Inc.; Cybergold in its acquisition by Mypoints.com; and Quantum Fuel Systems Technologies in its acquisition of Global Thermoelectric Inc. Mr. Campbell has represented a leading consumer products company in a wide variety of acquisition, disposition, and financing transactions.

Mr. Campbell is a member of the supervisory board of VPSA, the general partner of V2¸ a 175 million Euro cross border venture capital fund with offices in Paris and Palo Alto. He speaks regularly at conferences on capital markets, venture capital, and related topics.

Mr. Campbell is listed as recommended by the widely known and respected Chambers Guide to US Lawyers, is listed in Best Lawyers in America (2007) for Corporate Law, and has been recognized since 2003 by his clients and peers as a Northern California “Super Lawyer.” He graduated summa cum laude and Phi Beta Kappa from Duke University in 1979, received his J.D. degree from Yale Law School in 1982, and later clerked for the United States District Court in the Central District of California. He joined Morrison & Foerster in 1984, and has been a member of the firm since 1990.
