Paul T. Friedman specializes in defending class action litigation, particularly securities and consumer litigation. He also specializes in conducting internal investigations on behalf of audit committees and companies.

In over twenty-six years with Morrison & Foerster, he has represented a wide range of companies (from start-ups to some of the world’s largest companies), audit committees, special committees of directors, officers, directors, venture capital firms, investment banks, and law firms in securities class actions, and derivative actions in federal and state courts around the country. These cases have involved revenue recognition issues, accounting standards and practices, restatements, public offerings, disclosure issues, insider trading, mergers and acquisitions, and limited partnership offerings. He frequently represents clients in SEC investigations.

In addition to securities and consumer litigation, Mr. Friedman has an active practice in antitrust, corporate and other complex commercial litigation.

Mr. Friedman is the Chair of The Morrison & Foerster Foundation, a member of the firm's Board of Directors, a member of the Ninth Circuit Advisory Board, and was the Chair of the 2003 Ninth Circuit Judicial Conference. The bench and bar of the Northern District of California honored him with the Public Service Award in 2002.

Mr. Friedman was recognized in the 2006 BTI Consulting Group's Client Service All-Star Team for consistently delivering superior client service, and is regularly recognized as a Northern California "Super Lawyer." Most recently, Mr. Friedman has been listed in the Best Lawyers in America 2007 Directory for Commercial Litigation.



Representative Matters
  • Excess Value Insurance MDL. Lead defense counsel in MDL proceeding comprised of 27 multi-defendant consumer and antitrust class actions. 25 of 27 cases were originally filed in state court and successfully removed to federal court and consolidated into MDL proceedings in the Southern District of New York. See In re Excess Value Insurance Coverage Litigation, 2004 WL 1724980 (S.D.N.Y. Jul. 30, 2004).
  • Brocade Communications. Conducted internal investigations regarding stock option issues for Audit Committee.
  • Riverstone Networks Securities and Derivative Litigation. Representation of Company in securities class actions, derivative litigation, and SEC investigation. United Parcel Serv., Inc. v. Flores-Galarza. Successfully challenged Puerto Rico tax collection scheme as preempted under federal law. 318 F.3d 323 (1st Cir. 2003), affirming 210 F. Supp. 2d 33 (D.P.R. 2002); 383 F. 3d 9 (1st Cir. 2004), affirming 275 F. Supp. 2d 155 (D.P.R. 2003).
  • National Organization of Professional Athletes v. UPS. Won dismissal of action in Florida state court asserting deceptive trade practices related to package deliveries.
  • Western Parcel Express v. United Parcel Service of America, Inc. Defeated federal and state antitrust claims on motions to dismiss and for summary judgment. 190 F.3d 974 (9th Cir. 1999), affirming 65 F. Supp. 2d 1052 (N.D. Cal. 1998).
  • Smith v. United Parcel Service. Won dismissal of tort claims, establishing federal preemption precedent under Carmack Amendment, 296 F.3d 1244 (11th Cir. 2002).
