Mr. Graffagna is a partner and head of the firm’s Project Finance and Development Group, resident in the New York office. He represents lenders, developers and contractors in all aspects of project financing and development, and is experienced in power, oil and gas, transportation, water and other infrastructure projects. He also has extensive experience on joint ventures and strategic alliances. Examples of recent transactions on which Mr. Graffagna has advised include:

Infrastructure Projects

  • Representing Sumitomo Corporation in its $224 million investment in the giant San Cristobal silver and zinc mine in Bolivia, and creation of a strategic alliance with the project's principal other investor Apex Silver Mines Ltd., a publicly-listed U.S. mining company.
  • Representing Mitsui & Co., Ltd. and Chubu Electric Power Co., Inc. in connection with their purchase of Calpine Corporation’s 45% equity interest in the 525 MW Valladolid III natural gas-fired electrical power facility in Mexico.
  • Representing the Valladolid III Consortium (Mitsui/Calpine/Chubu Electric) in the development and financing of the 525 MW Valladolid III natural gas-fired electrical power facility in Mexico.
  • Representing Tokyo Gas in the purchase of an interest from InterGen in the El Bajio IPP Project in Mexico.
  • Representing Fuji Electric in the supply of steam turbine generators to various projects.
  • Representing a U.S. company in negotiating an EPCM contract for expansion of a large industrial facility.
  • Representing an investor in the proposed acquisition and operation of a water desalination plant and waste water treatment facility in the Bahamas.
  • Representing a commercial bank in the proposed financing of a fiber optic undersea cable network encircling Hawaii.
  • Representing JBIC and METI in the financing of the $700,000,000 KEPCO Ilijan IPP Project, a 1,200 MW gas-fired combined cycle power plant under construction in the Philippines.
  • Representing a consortium consisting of Mitsui & Co. , Mitsubishi Heavy Industries , Toshiba , Mitsubishi Corp. , Sumitomo Corp. , Marubeni , and Kawasaki Heavy Industries as equity participant and supplier of the Core System and the Trackworks for the $15,000,000,000 Taiwan High Speed Rail Project.
  • Representing Inpex Corporation in its purchase of an interest in the North Caspian Sea Oil Project in Kazakhstan.
  • Representing Japan National Oil Corporation in connection with exploration rights in the North Caspian Sea. 
  • Representing the lender on a $300,000,000 financing of an oil pipeline in West and Central Java, Indonesia.
  • Representing Kansai Electric in its acquisition of a minority stake in the San Roque Multi-Purpose Project, a 345 MW hydroelectric facility.
  • Representing Sumitomo Corporation as the provider of bridge financing and EPC contractor for the 440 MW BOT Wayang Windu Geothermal IPP Project in West Java, Indonesia.
  • Representing Sumitomo Corporation as the turnkey contractor and maintenance provider for the $640,000,000 EDSA Light Rail Transit Project in Manila.
  • Representing Sumitomo Corporation / Fuji Electric as the turnkey contractor for the Malitbog Geothermal IPP Project developed by Magma Power Company in the Philippines.

Joint Ventures and Strategic Alliances

  • Representing Toyoda Automatic Loom Works in a proposed $1,500,000,000 joint venture with Texas Instruments for the establishment of a semiconductor fabrication facility in Japan.
  • Representing Fuji Electric in the establishment of a global manufacturing alliance with General Electric, including the establishment of manufacturing facilities in China, Mexico, and elsewhere.
  • Representing Fuji Electric in the establishment of a joint venture in China with Shanghai Guang Dian Electric Company and Fuji GE Drives to manufacture inverters.
  • Representing Fuji Denki Seiki in its sale to General Electric of an interest in Dalian Fuji Electric Motor Co.

Mr. Graffagna received his B.A. degree in East Asian history, summa cum laude , from the University of Illinois in 1984 and his J.D. degree, cum laude , from Harvard Law School in 1989.  He was an associate editor of the Harvard International Law Journal

Mr. Graffagna studied Japanese language at Konan University, in Kobe, Japan and at Stanford University’s Inter-University Center in Tokyo.  Mr. Graffagna joined Morrison & Foerster in 1989 and became a partner of the firm in 1997.

Mr. Graffagna is a member of the New York and California bars.
