Henry M. Fields engages in a general corporate and banking practice. His practice includes domestic and international mergers and acquisitions and capital market transactions. His clients include international and domestic financial institutions.
Mr. Fields has been named one of the world’s leading banking lawyers by the International Financial Law Review, has been named a leading lawyer in the U.S. in Financial Services Regulation and Financial Institutions M&A by Chambers USA, and is one of only four attorneys in California to receive the highest individual rating in banking and finance by Global Counsel 3000 (7th edition). Mr. Fields was also named a 2006 Leading Lawyer for Banking (USA) and a 2007 and 2008 Leading Lawyer for Banking (Asia-Pacific region) by Asia Law & Practice magazine, a 2007 and 2008 Best Lawyer in America in the field of Banking Law, and one of the top 100 M&A attorneys by The BTI Consulting Group for 2008.
Mr. Fields served as Chair of the Institute for Corporate Counsel from 2000 to 2001 and continues as a member of the Board of Governors. He is a member of the Board of Directors of the International Bankers Association of California and the Chair of the Executive Committee of The Starlight Starbright Children’s Foundation.
Mr. Fields became associated with the law firm of Morrison & Foerster in 1980 and became a partner of the firm in 1981. He previously worked in both the New York and Paris offices of the New York law firm of Cleary, Gottlieb, Steen & Hamilton.

- Union Bank of California, N.A., in various transactions, including sale of its International Banking Group to Wachovia and acquisition of various trust companies and businesses.
- Various apparel companies in their sales, including sale of “Vince” to Kellwood Company
- GBC Bancorp in its sale to Cathay Bancorp ($475 million).
- Numerous foreign banking organizations in acquisitions of U.S. banks (e.g., Bank SinoPac, Industrial Bank of Taiwan, and Bank of East Asia) and establishment and operation of U.S. offices.
- Cheap Tickets, Inc. in its sale to Cendant Corporation ($400+ million).
- Nestlé Food Company in acquisition of Alpo Petfoods, Inc ($500+ million).
- Consortium of international mining companies in formation and operation of Quadrem, world's largest B2B exchange.
