John Hempill acts as general outside counsel for a number of privately and publicly held companies in a variety of industries. He has extensive experience in private and public finance, ranging from representing private emerging growth companies, venture capital funds and strategic investors in seed rounds and later stage private financings, to representing public companies and investment banks in public offerings, as well as 144A and PIPEs financings.

Mr. Hempill is also an experienced mergers and acquisitions lawyer for both public and private companies, having advised clients in acquisitions and dispositions of assets, as well as in other types of negotiated business combinations. He has represented venture capital and other funds in their formation and capitalization. His practice also involves negotiating and documenting strategic alliances and joint ventures, and providing advice on corporate governance as well as SEC and stock market regulations for public companies.

Mr. Hempill also has extensive experience with reorganization matters. He has represented several debtors in chapter 11 cases, both reorganizing and liquidating. His debtor clients have spanned a variety of industries, from investment banking to real estate. In addition to preparing plans of reorganization and disclosure statements, Mr. Hempill has focused on the corporate aspects of bankruptcy cases, including sales of assets under Section 363 and securities issuances under Section 1145. In addition to his debtor representations, Mr. Hempill has represented chapter 11 trustees, creditors (both in chapter 11 cases and out of court workouts) and significant shareholders.

  • Represented Tejas Securities in PIPE (Private Investment in Public Equity) and other security offerings aggregating in excess of $1 billion.
  • Represented Lehman Brothers in acquisitions and private equity investments.
  • Represented Verint Systems in several acquisitions.
  • Represented Hobart Truesdell in his capacity as chapter 11 trustee for Napster, including the sale of substantially all of its assets to Roxio.
