Timothy J. Harris is engaged in a practice focused on representing start-up and emerging growth technology enterprises. He represents enterprises in matters such as: entity formation and initial capitalization, including founder equity issuances and agreements among security holders; equity compensation, including stock option plans; private debt and equity placements, including venture capital and bank financings; intellectual property transactions, including licensing, joint development and distribution arrangements and other technology transfer matters; and mergers and acquisitions, including private-private and public-private transactions.

Mr. Harris’ representation extends from pre-inception planning through acquisition or initial public offering, directly advising entrepreneurs, executive management and Boards of Directors. Although his practice is focused on privately-held companies, he also represents public companies in their acquisition and venture capital investment activities. He has represented both issuers and underwriters in initial public offerings and regularly represents both venture capital firms and their portfolio companies in venture capital transactions.
