Ramagundam Power Project
Represent Electric Power Development Company in the $500 million limited-recourse financing of this power project, a coal‑fired 520 MW facility in Ramagundam, Karimnagar District, Andhra Pradesh, India. The representation involved advising client on shareholder, O&M and finance documentation.
2004
PT Trans-Pacific Petrochemical Indotama ("TPPI") Aromatics Project.
Represented a consortium of foreign shareholders comprising Itochu Corporation, Tuban Petrochemicals Pte. Ltd. (a subsidiary of Thailand's largest conglomerate Siam Cement PCL,) and Sojitz Corporation (formerly Nissho Iwai Corporation) in connection with a US$400 million financing and corporate restructuring of the Tuban Project The representation involved drafting and negotiating equity documents and project agreements, and advising with respect to numerous financing proposals and related documentation. The deal achieved financial close on May 26, 2004.
CBK Power Project
Represent a major international developer in connection with a bid to purchase Corporacion IMPSA’s direct and indirect equity interest in the 728MW CBK Power Project in the Philippines.
2003
CESC Debt Restructuring
Represent CESC, formerly known as Calcutta Electricity Supply Company, in connection with a US$750 million debt restructuring which involved (i) extended loan repayment terms to 33 creditors in order to match CESC’s cash flows, (ii) reduction of loan interest rates, and (iii) implementation of a debt repurchase scheme. This deal was cited by Thomson Financial’s IFR Asia publication as one of the most notable and ground-breaking restructuring transactions in 2003 and JP Morgan was awarded the IFR Asia Debt Restructuring Advisor of the Year award due in part to the success of this transaction.

Dabhol IPP Restructuring
Represent a major financial institution in the Dabhol IPP restructuring in India.
Toshiba LCD Plant
Represent the joint venture between Toshiba Corporation and Matsushita Corporation in the development of their US$1 billion liquid crystal display plant, the largest of its kind in the world.
1999
Manila Airport Privatization
Represent a major international investor in connection with its participation in the Manila Airport Privatization.
1996
PT Bukaka/Singtel Fixed Line KSO Project
Represent Singapore Telecommunications International in connection with the development of 450,000-line Basic Telephone Service Concession in eastern Indonesia. The representation included negotiating the turnkey construction contract with contractor and equipment supplier Siemens AG and the bridge construction financing arrangements.
Khanom Power Plant Privatization
Represent commercial bankers in the Khanom Power Plant privatization, Thailand’s second IPP, leading due diligence on the PPA and fuel supply arrangements for the acquisition financing of the Khanom 880 MW oil and gas-fired power station.
1995
KFW/Bangkok Light Rail Project
Represent German export credit lender KFW in connection with the due diligence review of construction and equipment supply arrangements for the Bangkok Light Rail Project in Thailand.
EGAT/Revision of PPA Terms
Represent Electricity Generating Authority of Thailand (EGAT) on the revision of its model PPA terms and conditions in response to feedback received from the international investor community for the first round of IPP competitive bids.
EGCO/Rayong Power Privatization
Represent Electricity Generating Public Company Limited (“EGCO”) in the Rayong Power privatization, Thailand’s first IPP, as the lead negotiator on the borrower’s side for the US$770 million acquisition financing of the 1200 MW gas-fired Rayong Power Station. This project was the first non-recourse financing in the region to receive a Standard & Poor’s rating and the first non-recourse project in Thailand to include a private placement with U.S. institutional investors.
1994
Thai Cogeneration
Represent Thai Cogeneration as its Project Counsel in connection with the development of the first phase of their 150 MW gas-fired generating station at Map Ta Phut industrial park in Rayong province, Thailand’s first SPP, including the negotiation of PPAs and the treatment of fuel costs under the tariff provisions.
Mangalore Power Project
Represent a consortium consisting of Cogentrix Energy Inc. and China Light & Power Company, Ltd. in the development of a 1,000 MW coal-fired power station in Mangalore, India.
Thai-Lao Power
Represent Thai-Lao Power Co., working with the Chase Manhattan Bank as financial advisor, in connection with all aspects of the financing and development of a 660 MW lignite-fired mine-mouth power station to be built in Laos. The representation involved negotiation of a power purchase agreement with EGAT, EPC agreements, and other project contracts.
Saudi Arabia IPP Bid
Represent a major European utility in connection with its bid to develop Saudi Arabia’s first independent power project.
Union Power Project
Represent Union Power Development Company and the sponsors in connection with the $1.2 billion limited-recourse financing of the 1400 MW BOT coal-fired power project in Thailand. The representation involved acting as New York counsel to the borrower in the structuring and negotiation of a $1.2 billion non‑recourse financing.
Enron Bid
CP Group/Enron Gas-Fired Power Station. Represent a consortium led by CP Group and Enron in connection with the proposed development of a 1400 MW gas-fired power station during the original IPP bidding process. The assignment included working with the project’s fuel manager to prepare a gas supply agreement to be entered into with PTT and preparing the fuel-related provisions of the PPA, including the tariff’s energy payment provisions.
