Mr. Jenney is a partner in the Washington, D.C. office of Morrison & Foerster, and is a member of the firm’s Project Finance and Development Group. His practice focuses on international project finance, political risk insurance and cross-border investment transactions, with a particular emphasis on structuring, lending, political risk, and intercreditor issues.

Mr. Jenney has represented lenders and developers in project financings in Asia, Latin America, the Caribbean, and Central and Eastern Europe, principally in the power, water, hotel, manufacturing, and telecommunications industries. He previously served as Assistant General Counsel of Overseas Private Investment Corporation (“OPIC”), an agency of the United States government, where he represented OPIC as senior lender and political risk insurer in a broad range of project finance, equity fund, and cross-border investment transactions worldwide.

Mr. Jenney’s project finance experience comprises new loans, refinancings, restructurings and workouts for projects ranging in size from $2 million to $2.5 billion, particularly with respect to co-lending among multilateral and bilateral agencies (OPIC, U.S. Eximbank, IDB, JBIC, IFC, EBRD), commercial bank syndicates, and 144A lenders.

Mr. Jenney’s political risk insurance experience encompasses both insurance and reinsurance of a broad range of equity and debt investments by developers, commercial banks, and capital markets investors.

Mr. Jenney has served as an Adjunct Professor at the Georgetown University Law Center and The George Washington University National Law Center, where he taught courses covering foreign direct investment, international commercial transactions, and international project finance. He is listed in The Best Lawyers in America as a leader in the field of project finance (2006 – 2009), Euromoney Legal Media Group’s Guide to the World’s Leading Project Finance Lawyers, and The International Who's Who of Project Finance Lawyers.

Mr. Jenney received his J.D. and M.B.A. from the University of Virginia in 1983. He received his B.A. from Yale University in 1979. Mr. Jenney is a member of the New York and District of Columbia bars.

Selected International Project Finance Experience:

  • Represented lender in connection with project finance loan for construction of a 2 X 615MW coal-fired power plant in Indonesia (co-financed by OPIC, JEXIM, U.S. Eximbank and commercial banks); Represented lender in connection with refinancing of a tranche of commercial bank debt via a 144A offering in connection with same project Represented lender in connection with project finance loan for construction of a 180MW geothermal power plant in the Philippines (co-financed by OPIC, U.S. Eximbank and commercial banks)
  • Represented lender in connection with project finance loan for development and construction of a cellular telecommunications network in Lithuania
  • Represented lender in connection with project finance loan for purchase and upgrade of a paper mill in Poland (co-financed by OPIC, EBRD, IFC and commercial banks)
  • Represented lenders in connection with project finance loans for (i) construction of a chemical plant in the Bahamas, and (ii) construction of a chemical plant in Romania (co-financed by OPIC and EBRD)
  • Represented lenders in connection with project finance loans for (i) expansion of an existing hotel, and (ii) upgrade of another existing hotel, both in downtown Buenos Aires, Argentina
  • Represented lender in connection with project finance loans for construction of (i) a resort hotel in Montego Bay, Jamaica to be operated by The RitzCarlton Hotel Company, and (ii) a five-star business hotel in Istanbul, Turkey to be operated by The RitzCarlton Hotel Company
  • Represented lender in connection with a loan to assist in the design, development, construction, operation and maintenance of a new international civil aviation facility located near the city of Colon, Panama

Selected Political Risk Insurance Experience:

  • Assisted IDB in developing a form Political Risk Guarantee covering inconvertibility and transfer risk
  • Assisted MIGA as political risk insurer in developing a standard form contract for political risk insurance of investments in natural gas projects
  • Represented OPIC as political risk insurer of a private placement for a soft drink bottling project in Turkey
  • Represented OPIC as political risk insurer of two private placement financings of a Ford automobile project in Turkey
  • Represented IDB as currency convertibility and transferability insurer for a Loan provided by a syndicate of commercial banks to finance electricity sector projects in Brazil
  • Represented IDB as political risk insurer, offering both inconvertibility and arbitral award default coverages, of a note offering to be funded by a European capital markets placement to finance an airport project in the Dominican Republic
  • Represented IDB as political risk insurer with respect to providing currency convertibility and transferability coverage for a Loan made by a syndicate of foreign commercial banks to finance electricity sector projects in Brazil
  • Represented IDB as political risk insurer with respect to providing currency convertibility and transferability coverage, as well as breach of contract coverage, for a Loan made by a syndicate of commercial banks and institutional investors to finance power project in the Dominican Republic
  • Represented a private political risk insurer in connection with coverage issued to a European bank for a portfolio of loans for various projects in the Middle East
  • Represented a private political risk insurer in connection with coverage issued to a European bank in an international project financing of a power project in Sri Lanka
  • Represented a private political risk insurer in connection with coverage issued to a European bank for a financing of an energy project in Argentina
  • Represented a private political risk insurer in connection with coverage issued to a European bank for a loan guaranteed by Petroleos Mexicanos
  • Represented a private political risk insurer in connection with political risk insurance coverage for contract frustration and bank export transaction and for contract repudiation for two Argentine trade transactions
  • Provided expert testimony in writing on three issues in connection with a political risk insurance dispute that was the subject of an international arbitration of a claim under a political risk insurance policy covering losses arising from expropriation an investment in Pakistan.

  • Represented developer in connection with development and project financing of two wind power projects in Costa Rica
  • Represented bidder in connection with water concession for industrial park project in Venezuela, including advice with respect to investment structuring, bidding process, financing, relations with shareholders, and national, regional and municipal authorities
