Mr. Parris is a corporate finance partner in Morrison & Foerster’s San Francisco office. Mr. Parris maintains a corporate and securities practice, with special emphasis on securities offerings, mergers and acquisitions and corporate counseling, representing both public and private companies in a variety of industries including, biotech, healthcare, high-technology, financial services and gaming.
Mr. Parris represents companies in corporate and financing matters, including initial public offerings, follow-on and secondary offerings, as well as VC financings, mergers and acquisitions of public and private companies. Mr. Parris also advises members of executive management, boards of directors and special committees on strategic and corporate governance issues, and regularly advises companies on disclosure and compliance issues under both the Securities Act of 1933 and the Securities Exchange Act of 1934, including matters relating to the Sarbanes-Oxley Act of 2002, and the Securities and Exchange Commission, NYSE and NASDAQ rules and regulations and general corporate matters.
Mr. Parris has been involved in numerous public and private securities offerings, representing both issuers and underwriters, involving equity and convertible and high-yield debt, including offerings for Boyd Gaming Corporation, Broadbase Software, Inc., Carrier Access Corporation, The Clorox Company, Depomed, Inc., Emulex Corporation, Extensity, Inc. and Powerwave Technologies, Inc., among others.
Mr. Parris has also represented companies and financial advisors in both foreign and domestic mergers and acquisitions, including the representation of Westcorp in its $3.9 billion acquisition by Wachovia Corp.; Boyd Gaming Corporation in its $375 million exchange of the Barbary Coast Hotel & Casino with Harrah’s Entertainment and its $513 million disposition of the South Coast Hotel and Casino; Deutsche Bank Securities Inc. as financial advisor to Powerwave Technologies, Inc. in its $407 million acquisition of LGP Allgon, its $296 million acquisition of assets from Filtronic PLC and its $114 million acquisition of assets of Remec, Inc., among others.
Mr. Parris received his B.A. degree in Economics from the University of California at Davis in 1994 and his J.D. degree from the University of California at Davis in 1998 where he served as Senior Notes and Comments Editor of the University of California, Davis Law Review .
Mr. Parris is a member of the California Bar and the American Bar Association.
