Mr. Parris is a corporate finance partner in Morrison & Foerster’s San Francisco office. He maintains a corporate and securities practice, with special emphasis on securities offerings, mergers and acquisitions, and corporate counseling, representing both public and private companies in a variety of industries including, biotech, healthcare, high-technology, financial services, and gaming.

Mr. Parris represents companies in corporate and financing matters, including initial public offerings, follow-on, and secondary offerings, as well as VC financings and mergers and acquisitions of public and private companies. He also advises members of executive management, boards of directors, and special committees on strategic and corporate governance issues, and regularly advises companies on disclosure and compliance issues under both the Securities Act of 1933 and the Securities Exchange Act of 1934, including matters relating to the Sarbanes-Oxley Act of 2002, and the Securities and Exchange Commission, NYSE, and NASDAQ rules and regulations, and general corporate matters.
