Lloyd S. Harmetz is a partner in the firm’s New York office and practices in the firm’s Capital Markets Group. His practice focuses on securities offerings and other corporate transactions for U.S. and non-U.S. companies. His experience includes public offerings, private placements and PIPEs offerings of equity and debt securities, in which he represents both issuers and underwriters. His practice focuses on securities offerings by financial institutions, including investment grade securities and structured products linked to equities, commodities, interest rates and other underlying assets. His practice also specializes in structuring continuous offering programs that are registered under the Securities Act, or that are exempt from registration under Regulation S, Rule 144A and Section 3(a)(2) of the Securities Act.

Many of the transactions in which Mr. Harmetz has participated have involved companies in technology-driven industries, such as Internet infrastructure and content, computer software development, life sciences, medical care products and telecommunications. His counseling practice includes advice with respect to all aspects of the U.S. securities laws, corporate governance and other corporate matters.

Mr. Harmetz previously was based in Morrison & Foerster's Tokyo and Hong Kong offices, and between October 1998 and May 1999, he was seconded to the firm of Fischer, Behar, Chen & Co., in Tel Aviv, Israel.

Mr. Harmetz is a frequent lecturer on the subject of securities offerings and the federal securities laws, and has published articles on these topics in a variety of U.S. and international publications.

  • Represented Netease.com, Inc., an Internet portal based in the People’s Republic of China, in connection with its initial public offering of American Depositary Shares.
  • Represented Harris Nesbitt Gerard, as placement agent, in a PIPEs offering by Aphton Corp., a biopharmaceutical company.
  • Represented Huaneng Power International, Inc., a producer and supplier of electric power in the People’s Republic of China, in connection with its initial public offering of American Depositary Shares.
  • Represented Oakley, Inc., a U.S. manufacturer of high-performance sunglasses and goggles, in connection with its initial public offering.
  • Represented 724 Solutions, Inc., a Canadian developer of Internet-related solutions for the financial and e-commerce industries, in connection with its initial public offering of common shares on Nasdaq and the Toronto Stock Exchange.
  • Represented Net2Phone, Inc., a provider of Internet telephony services, in connection with its initial public offering and a follow-on offering.
  • Represented WR Hambrecht + Co in connection with the initial public offering of Nogatech, Inc., an Israel-based developer of video compression chips.
  • Represented IDT Corporation, an international telecommunications carrier, in connection with its follow-on offering.
  • Represented Laser Industries Limited, an Israeli designer and manufacturer of medical laser systems, in connection with a public offering of its ordinary shares.
  • Represented Cimatron Limited, an Israeli manufacturer of CAD/CAM software products, in connection with its initial public offering of ordinary shares.

  • Represented Bank of America Corporation in connection with its U.S. and European medium-term note programs, including offerings of senior debt, subordinated debt, trust-preferred securities, and a variety of classes of structured notes.
  • Represented IDT Corporation in connection with a Rule 144A offering of senior notes.
  • Represented Bear Stearns & Co. Inc. in connection with a Rule 144A offering of senior notes issued by Ekco Group, Inc., a leading U.S. manufacturer of branded houseware products.

Representative Acquisitions and Joint Ventures

  • Represented Lightyear Capital in connection with its leveraged acquisition of Collegiate Funding, L.L.C., including its related debt and equity financing transactions.
  • Represented Fujitsu Limited in connection with the establishment of the WebTV Japan Network with WebTV Networks, Inc.
  • Represented Fujitsu Limited in connection with its acquisition of Amdahl Corporation, a provider of mainframe computer systems and consulting services.
