Patrick McCabe's practice focuses on the representation of domestic and foreign companies in the areas of executive compensation and employee stock plans and non-qualified retirement plans. In addition, he frequently advises individual executives concerning their equity compensation arrangements. Mr. McCabe also advises individual clients in the areas of taxation, estate planning, estate administration, charitable gift planning, probate and trust law, as well as non-profit and charitable clients in all aspects related to their tax-exempt status and corporate matters under state law.

In particular, Mr. McCabe has extensive experience designing a variety of incentive and equity-based compensation arrangements, including incentive and non-qualified stock options, restricted stock, stock appreciation rights, phantom stock plans and employee stock purchase plans. He also provides clients with advice regarding the complex accounting, taxation and securities law compliance issues that affect compensation arrangements.

Mr. McCabe also has extensive experience designing sophisticated techniques for accomplishing the estate and charitable planning objectives of individuals. These techniques include qualified personal residence trusts, grantor retained annuity trusts, "defective" grantor trusts, and various types of charitable remainder and income trusts. He also establishes private foundations, supporting organizations and other vehicles for accomplishing personal philanthropy.

With respect to non-profits, Mr. McCabe has assisted dozens of charities apply for and obtain tax-exempt status. He works on a regular basis with many charitable organizations on a variety of tax planning and compliance matters. He assists charitable trusts with questions concerning fiduciary responsibilities and duties to trust beneficiaries.

He associated with the firm in 1992 and has been a partner since 2000.



Representative Matters
  • Designed and implemented an omnibus stock plan for the grant of multiple types of equity compensation for a large multinational corporation.

  • Created a supporting organization that permits an investment company and its clients to carry out their charitable giving under the umbrella of a much larger charity to reduce costs and simplify compliance.

  • Developed and implemented a sale of assets to defective grantor trusts for children with no gift tax or capital gains tax.
