Mr. Troupe is Chair of Morrison & Foerster’s Denver Corporate Group. Mr. Troupe’s practice focuses on all aspects of corporate finance, including capital formation transactions (public offerings and private placements of securities, joint venture transactions, private equity and venture capital) and mergers and acquisitions. Mr. Troupe has concluded a large number of mergers and acquisitions for both public and private companies, including tender offers, hostile proxy contests, and negotiated acquisitions.

Mr. Troupe has also represented numerous companies in a wide range of financing and restructurings, including a variety of public and private equity offerings, traditional loan structures, debt placements, subordinated debt financings, workouts, and recapitalizations.

Mr. Troupe also represents special committees of Boards of Directors in providing guidance for compliance with the Sarbanes-Oxley Act of 2002 and New York Stock Exchange and The Nasdaq Stock Market, Inc. related matters.

Mr. Troupe has been named a Leading Lawyer in Corporate/Mergers & Acquisitions for the past three years (2005-2007) and a Leading Lawyer in REITs for 2007 in Chambers USA Guide to America’s Leading Business Lawyers, published by Chambers & Partners Publishing. He was also selected as a “Colorado Super Lawyer” for 2006 and 2007 by Law & Politics. Mr. Troupe is a frequent speaker and panelist on security law, mergers and acquisitions, and corporate governance issues.

Mr. Troupe received his B.A. degree from Colorado State University in 1975 and his law degree from the University of Denver in 1978.

Mr. Troupe is a member of the Colorado and Denver bar associations and the Florida Bar Association.
