Mr. Lewandowski joined the Corporate Department of Morrison & Foerster LLP in October 1997 in the firm’s Denver office. He left the firm in April 2003 and returned in August 2005. His practice focuses on transactional and financial matters, with a special emphasis on securities law and mergers and acquisitions. His securities experience includes advising clients ranging from small startups, to private equity firms and large public companies regarding the sale or purchase of debt and equity securities in public and private transactions, including primary and secondary public offerings, venture capital financings and private equity fund formations. He has worked on public and private merger transactions, including going private, roll-up and management buyout transactions, with aggregate deal values in excess of $3.5 billion. In addition to general corporate matters, he has advised both large and small public companies on their corporate compliance and reporting obligations under the Sarbanes-Oxley Act, the securities laws and stock exchange rules. Mr. Lewandowski also has extensive experience in representing clients in technology transfer and licensing transactions, specifically in the pharmaceutical industry.
Mr. Lewandowski graduated with honors from The University of Denver College of Law, where he was the Articles Editor of the Denver University Law Review , Editor of the Preventive Law Reporter , a member of the Order of St. Ives and a recipient of the Kenneth L. Smith scholarship. Mr. Lewandowski received a B.A. in Finance from Michigan State University in 1987.
Mr. Lewandowski is admitted to practice in Colorado, and is a member of the Colorado Bar Association and the American Bar Association.
