Mr. Small was born in Kansas City, Missouri, in 1927. He received his A.B. degree from Stanford University in 1949, and his J.D. degree from Stanford University School of Law in 1951, where he served as Note Editor of the Stanford Law Review . Mr. Small served as law clerk to Justice William O. Douglas of the United States Supreme Court during the 1951-1952 term. From 1952 to 1954 he served on active duty in the Office of the Judge Advocate General, Department of the Army, Washington, D.C. Following a brief period on the faculty of Stanford Law School, as an Acting Assistant Professor of Law, he associated with Morrison & Foerster in 1954. He was a partner of the firm from 1961 through 1992, and since 1993 has been Senior Of Counsel to the firm.
Mr. Small is a member of the American Law Institute, and a Fellow of the American Bar Foundation, and has served as a Reporter for the American Law Institute’s Corporate Governance Project from 1982 through completion of the Project in 1993. He is a member of the Business Law Section of the American Bar Association, and served as a member of the Committee on Corporate Laws of the Section from 1975 to 1982. As a member of the Committee’s Subcommittee on Functions and Responsibilities of Directors, he participated in the preparation of the Committee’s original “Corporate Directors’ Guidebook” and “The Overview Committees of the Board of Directors.” He also served as the Subcommittee’s chair. Mr. Small has also lectured and written extensively in the fields of corporate and securities law.
Mr. Small has been engaged in a diversified business practice, which includes counseling boards of directors and serving as special counsel to board committees, compensation arrangements, and corporate and other public disclosure and securities law matters.
