Marshall L. Small has been engaged in a diversified business practice, which includes counseling boards of directors and serving as special counsel to board committees, compensation arrangements, as well as corporate and other public disclosure and securities law matters.

Mr. Small is a member of the American Law Institute, a Fellow of the American Bar Foundation, and has served as a Reporter for the American Law Institute's Corporate Governance Project from 1982 through completion of the Project in 1993. He has also lectured and written extensively in the fields of corporate and securities law.

Mr. Small served as law clerk to Justice William O. Douglas of the United States Supreme Court during the 1951-1952 term. From 1952 to 1954 he served on active duty in the Office of the Judge Advocate General, Department of the Army, Washington, D.C. Following a brief period on the faculty of Stanford Law School, as an Acting Assistant Professor of Law, he associated with Morrison & Foerster in 1954. He was a partner of the firm from 1961 through 1992 and has been Senior Of Counsel to the firm since 1993.
