Marjorie S. Elkin's practice focuses on the taxation of corporations, partnerships and individuals. Her areas of expertise include transactional work for corporate mergers, acquisitions and reorganizations and joint ventures, as well as tax planning in connection with inbound and outbound investments.

Ms. Elkin began her legal career in 1975 at Dewey, Ballantine. She joined Zimet, Haines, Friedman & Kaplan in 1981 and later become a partner of that firm. She joined Morrison & Foerster LLP as Of Counsel in 1998.



Representative Matters
  • Advised a public company in connection with a spin-off transaction and related acquisition, including advice with respect to ruling from the IRS.

  • Advised a financial institution on the tax aspects of various securities offerings, including notes with embedded equity features and indexed notes.

  • Advised a Japanese company in the structuring and documentation for a Cayman Islands private equity fund and related agreements.
