Mr. Goodmiller is a member and former Co-Chair of the firm's Land Use and the Environmental Law Group. Mr. Goodmiller has a broad base of experience in land use and military base reuse, including development agreements, general and specific plans, zoning, the Subdivision Map Act, the California Environmental Quality Act, planned developments, disposition and development agreements, acquisition agreements, and local government and political law throughout California.

Mr. Goodmiller has been ranked as one of Northern California's "Super Lawyers" for 2004-2007 and one of the state's top land use attorneys by Chambers & Partners in their 2006 listing. Most recently, Mr. Goodmiller has been listed in the Best Lawyers in America 2007 and 2008 Directory for excellence in Land Use and Zoning Law.

Mr. Goodmiller's clients have included developers of some of California's largest master plan projects, office buildings, as well as military base reuse projects. He has represented the master developer of closed military bases in Northern and Southern California, as well as on the East Coast. He also represented the master developer of a transit village adjacent to a Bay Area Rapid Transit station in Northern California.

Prior to joining Morrison & Foerster, Mr. Goodmiller served as a city attorney for ten years, focusing on land use, development, infrastructure, local government and political law issues.



Representative Matters
  • Represents Lennar Mare Island LLC in connection with the acquisition of the Mare Island Naval Shipyard by the City of Vallejo from the U.S. Navy, including the Leases in Furtherance of Conveyance. We represented Lennar Mare Island in the successful negotiations with the City of Vallejo for an acquisition agreement containing the terms and conditions of Lennar's acquisition and development of Mare Island. We negotiated a development agreement with the City and participated in the negotiation and drafting of a Settlement Agreement between the City, the State Lands Commission, and Lennar. We processed a specific plan amendment reflecting Lennar's development plan and advised on the preparation of a subsequent environmental impact report analyzing Lennar's development plan. We also handle all related entitlement work and significant real estate transactional matters.
  • Represented LNR Riverside, LLC in the negotiation of an exclusive negotiating agreement and subsequently negotiated and drafted a disposition and development agreement for the acquisition and development of the March Air Force Base by LNR. We also assisted in the preparation of a specific plan related to the development of the Base and the environmental review, including subsequent CEQA litigation. We handle conveyances of property from the March Joint Powers Authority to LNR Riverside, LLC. We also drafted and negotiated a development agreement for the development of the base.
  • Successfully represented LNR South Shore, LLC in negotiating and drafting an exclusive negotiation agreement and security agreement with respect to LNR's pre-development costs on the base near Boston. We also successfully negotiated and drafted a disposition and development agreement providing for LNR's acquisition and development of the base.
  • Represented William Lyon Homes for the land use and CEQA matters on its East Garrison development project at Ft. Ord in Monterey County.
  • Represent Forest Lawn for land use matters on its project on the former El Toro base in Orange County.
