Mr. Farman is a partner in the firm’s Sacramento office, where he heads the office’s corporate and securities practice. He is a member of the firmwide Corporate Group and co-chair of the firm’s global Private Equity Fund Group.

Mr. Farman’s practice focuses on corporate and securities transactions, with a particular emphasis in: mergers and acquisitions; public and private securities offerings; venture capital financings of emerging-growth companies; private equity fund formation; corporate restructurings; federal securities law compliance; and general corporate and securities counseling of public and private companies.

Mr. Farman’s practice includes representation of foreign and domestic investors, public companies, start-up and emerging-growth private companies, private equity funds and their general and limited partners; investment banks; shareholders and boards of directors.

Mr. Farman received his B.A. degree, with distinction, in History from Stanford University in 1981. He received his J.D. from the University of California, Davis, School of Law, in 1985, where he was Editor of the U.C. Davis Law Review. From 1985 to 1986, Mr. Farman was a Judicial Clerk to Judge Harry Pregerson, United States Court of Appeals for the Ninth Circuit.

Mr. Farman is listed in The Best Lawyers in America (2008), and has lectured and written on a variety of corporate, securities and private equity fund topics.

Representative Matters

  • Represented American Pharmaceutical Partners, a public pharmaceutical company, in its $4.1 billion acquisition of privately-held American Bioscience. Mr. Farman had previously represented APP in its $52 million Series A-D preferred stock financings, its $75 million acquisition of the generic pharmaceutical products division of Fujisawa, its $160 million initial public offering, and various other equity and debt financings, business acquisitions, and strategic collaborations.
  • Represented Objective Systems Integrators, a public telecommunications software company, in a $700 million cash tender offer acquisition by Agilent Technologies.
  • Represented Abraxis Bioscience, a public biopharmaceutical company, in the $2 billion spin-off of its proprietary biopharmaceutical products division.
  • Represented venture capital funds other institutional investors, and various start-up and emerging-growth technology companies, in over 50 preferred stock financings and other private equity investments.
  • Represented institutional investors in the formation of over 250 domestic and foreign buyout funds, venture capital funds and other private equity funds. In the last three years alone, Mr. Farman has represented limited partner investors in their investment of more than $15 billion in over 100 funds having an aggregate committed capital in excess of $300 billion, with the per-deal commitments by these investors ranging up to $600 million. Mr. Farman has represented significant limited partner investors in 10 of the 15 largest private equity funds ever formed.
  • Represented general partners/managers in the formation of 40 private equity funds and funds-of-funds having an aggregate committed capital in excess of $6 billion.
