Mr. Mattson is a partner in Morrison & Foerster’s San Francisco office engaged in counseling both public and private companies on corporate finance, securities, technology licensing, business restructuring, and regulatory compliance issues. He is the past Co-Chair of the firm’s Corporate group and currently is Co-Chair of the Public Companies and Securities Group.

Mr. Mattson regularly advises companies on disclosure and compliance issues under both the Securities Act of 1933 and the Securities Exchange Act of 1934. He is the co-editor of California Corporate Practice and Forms: The Morrison & Foerster Manual published by Data Trace Publishing. He is also the author of the chapter dealing with the 1934 Act compliance in Gadsby’s Business Organizations: Securities Regulation treatise, published by Matthew Bender, and is the co-author of chapters concerning the application of the 1933 Act.

Mr. Mattson has been involved in over 100 public offerings of common stock, preferred stock, and debt, including initial public offerings for uBid, BankAmerica Corporation, Broadbase Software, Creative Computers, Crocker National Corporation, Boyd Gaming Corporation, Powerwave Technologies, Gemstar International Group, Simulation Sciences Inc., JDA Software, Smith Micro Software, Wonderware Corporation, MTI Technology Corporation, Platinum Software Corporation, Triconex Corporation, Curaflex Health Services, Univax Biologics, Abbey Healthcare Group, Plant Genetics, and Advanced Logic Research. His securities practice also has involved issuer tender offers (e.g., Dillingham Corporation and Quantum Corporation), representation of bidders and targets in hostile takeovers (e.g., Day Mines and Lucky Stores), and corporate restructurings (such as the Dillingham partial liquidation in which Dillingham’s major Hawaii real estate properties were spun off to a publicly held limited partnership).

Mr. Mattson also has an active mergers and acquisition practice involving both public and private companies. Transactions, in which he has been involved, include the $3.91 billion acquisition of Westcorp by Wachovia Corp., the acquisition and subsequent disposition by BankAmerica Corporation of The Charles Schwab Corporation, the merger of Nellcor Puritan Bennett and Mallinckrodt, Inc., the merger of Viagene Inc. and Chiron Corporation, the merger of Nellcor Incorporated and Puritan-Bennett, Inc., the merger of Tokos Medical Corporation and Healthdyne, Inc. to form Matria Healthcare, Inc., the mergers of Osborn Medical Systems, Ltd. and Advanced Surgical Inc. with Urohealth Systems, Inc., the merger of four public companies (Curaflex Health Services, T² Medical, Health Infusion, and Medisys) to form Coram Healthcare Corporation, the merger of Homedco and Abbey Healthcare Group to form Apria Healthcare Group, the acquisition of IMPRA, Inc. by C.R. Bard, AST Research’s acquisition of the personal computer manufacturing operations of Tandy Corporation, Sterling Software’s acquisition of Systems Center, Inc., the acquisition of Avantek by Hewlett-Packard, the acquisition of Clinical Homecare Ltd. by Curaflex Health Services, Inc., Midland Bank’s acquisition of Crocker National Corporation, Getty Oil Company’s acquisition of Reserve Oil & Gas Company, Consolidated Freightways’ acquisition of Emery Air Freight, the acquisition of Impell Corporation by Combustion Engineering, Inc., the acquisition of Altos Computer Systems by The Acer Group, Network Systems Corporation’s acquisition of Vitalink Communications Corporation, American Stores’ acquisition of Lucky Stores, A.G. Bayer’s acquisition of Agrion Corporation, Alpha Microsystems’ acquisition of Fujitsu Microsystems of America, Inc., and the sale of Valley Disposal Service to Waste Management, Inc.

Mr. Mattson has served as the Vice-Chair of the Executive Committee of the Business Law Section of the State Bar of California, the Chairman of the Corporations, Banking and Business Law Section of the Bar Association of San Francisco, and the Chairman of the Corporations Committee of the State Bar of California. Mr. Mattson spends a considerable amount of time each year as a lecturer at PLI, CEB, ALI-ABA, and other continuing legal education courses, as well as seminars and conferences sponsored by such organizations as The SEC Institute.

Mr. Mattson received his A.B. degree from Stanford University (Honors in Humanities) and his J.D. (cum laude) and M.M. degrees from Northwestern University School of Law and Graduate School of Management. He joined Morrison & Foerster’s San Francisco office in 1975, becoming a partner in 1981. From 1985 to March of 1989, Mr. Mattson was the Managing Partner of the firm’s Walnut Creek, California office. Before rejoining Morrison & Foerster’s San Francisco office in 2008, Mr. Mattson spent 18 years as the head of the Corporate group in the firm’s Orange County office.
