Mr. Caid is Of Counsel in Morrison & Foerster's Denver office. His practice focuses on corporate finance and transactional matters, with an emphasis on federal securities law and mergers and acquisitions. He also advises both public and private companies on corporate governance and regulatory compliance issues. Mr. Caid has represented numerous companies in a wide range of corporate transactions, including public offerings of debt and equity, Rule 144A and other private offerings, tender offers and negotiated acquisitions.

Mr. Caid's recent corporate finance and securities experience includes representing United Dominion Realty Trust, Inc. in connection with various public offerings of common stock totaling over $237 million, numerous public offerings of debt totaling $900 million and tender offers for outstanding debt of over $285 million, representing Connetics Corporation in connection with a $90 million private offering of convertible notes and a $61 million private offering of common stock, representing Atrix Laboratories, Inc. in connection with public offerings of common stock totaling over $145 million, and representing Altera Corporation in connection with a $200 million stock option exchange offer. Mr. Caid also counsels companies on disclosure and compliance issues under the Securities Exchange Act of 1934 and NYSE and Nasdaq matters.

Mr. Caid's recent mergers and acquisitions experience includes representing Atrix Laboratories, Inc. in the merger with QLT Inc., representing Optika, Inc. in the merger with Stellent, Inc., representing Connetics Corporation in its acquisition of Soltec Research Pty Ltd., representing Connetics Corporation in connection with its acquisition of the exclusive U.S. rights to the Soriatane® product line from Hoffmann-La Roche Inc., and representing United Dominion Realty Trust, Inc. in connection with the acquisition of certain properties from Essex Apartment Value Fund.

Mr. Caid received his B.A. degree with highest honors from the University of North Carolina at Chapel Hill in 1983. He received his law degree from Columbia University School of Law in 1987, where he served as a member of the Board of Editors of the Columbia Law Review and was honored as a Harlan Fiske Stone scholar. Following law school, Mr. Caid clerked for the Honorable William L. Garwood on the U.S. Court of Appeals for the Fifth Circuit.
