Jill Feldman is a partner in the San Francisco office of Morrison & Foerster and is a member of the firm’s Financial Transactions Practice Group. Ms. Feldman’s practice principally focuses on domestic and international financial and project financing transactions. She has extensive experience in single-lender and syndicated credit transactions, asset-based credit facilities, real estate and REIT development loans, cross-border transactions, credit support for industrial development bonds, infrastructure development, project finance transactions, multi-tiered credit facilities (representing senior and mezzanine lenders), and equipment leasing and aircraft financing transactions. Her practice includes a wide range of secured and unsecured lending, project finance, acquisition finance, workout and restructuring transactions, and includes the domestic and international purchase, sale, leasing and financing of worldwide assets such as equipment, railcars, commercial airplanes and corporate jets, as well as the construction financing of manufacturing facilities, energy projects and condominium development projects.
Ms. Feldman joined Morrison & Foerster as a partner in October of 1999. Previously, Ms. Feldman was a partner in the San Francisco office of Graham and James, where she co-chaired its credit and financial transactions practice.
Ms. Feldman earned her law degree, magna cum laude , from Hastings College of the Law in 1986, where she was a member of the Thurston Society, Order of the Coif and the executive editor of The Hastings Law Journal .
Ms Feldman is a member of the California bar.

Credit Transactions
- Documented and negotiated a $850,000,000 loan secured by plastics manufacturing complex in Texas, representing the agent for a syndicate of Taiwanese banks.
- Documented and negotiated a $160,000,000 asset-based loan to a Real Estate Investment Trust, representing the agent for a syndicate of lenders and taking operating properties, leased lands and other real estate assets as collateral.
- Documented several fully secured mezzanine loan, with warrants, to finance the acquisition of various high and low technology companies, representing the mezzanine lender group.
- Represented a national bank in the workout and restructuring of a $10,000,000 loan secured by a laundry facility, leading to the eventual payoff of the bank’s loan.
- Represented a staffing company in connection with a $69,000,000 secured multicurrency loan facility with separate borrowing base loans in the U.S., England and Australia.
Equipment and Aircraft Transactions
- In connection with bankruptcy of Air Canada, negotiated the transfer of ownership of several aircraft from the equity investor to debt investors, documented aircraft trusts, claims trusts, and aircraft management and storage agreements, and negotiated and documented the eventual sale of the aircraft.
- Represented an Irish corporation in the purchase of several aircraft engines under lease in the United States.
- In connection with defaults and bankruptcy actions by America West Airlines, represented a group of Japanese lenders in the restructuring of various aircraft leveraged lease transactions.
- Represented the private banking group of a major national bank in the acquisition financing of corporate and personal jets.
- Represented a U.S. company in connection with a conditional sale of equipment to a company in India.
Project Finance Transactions
- Represented an affiliate of a California energy utility in the negotiation of the construction, sale and lease financing of four peaking power plants in California.
- Represented a project developer to negotiate equipment acquisition, construction, lease financing and sale documents for various small distributed generation projects in California.
- Represented a major project developer in the restructuring of finance documents for four cogeneration facilities to provide for a full requirements gas supply agreement to replace the former gas supply structure, and to amend all finance documents to permit the sharing of collateral by disparate lender groups.
- Represented the owner of several gas-fired cogeneration projects in the negotiation of base load and swing gas contracts with long-term gas suppliers.
- Represented a project owner in the purchase of limited partnership interests in a company owing geothermal projects.
