Jill Feldman is a partner in the San Francisco office of Morrison & Foerster and is a member of the firm's Financial Transactions Practice Group. Ms. Feldman's practice principally focuses on domestic and international financial and project financing transactions. She has extensive experience in single-lender and syndicated credit transactions, asset-based credit facilities, real estate and REIT development loans, cross-border transactions, credit support for industrial development bonds, infrastructure development, project finance transactions, multi-tiered credit facilities (representing senior and mezzanine lenders), and equipment leasing and aircraft financing transactions. Her practice includes a wide range of secured and unsecured lending, project finance, acquisition finance, workout and restructuring transactions, and includes the domestic and international purchase, sale, leasing and financing of worldwide assets such as equipment, railcars, commercial airplanes and corporate jets, as well as the construction financing of manufacturing facilities, energy projects and condominium development projects.



Representative Matters
  • Documented and negotiated a $850,000,000 loan secured by plastics manufacturing complex in Texas, representing the agent for a syndicate of Taiwanese banks.

  • Documented and negotiated a $160,000,000 asset-based loan to a Real Estate Investment Trust, representing the agent for a syndicate of lenders and taking operating properties, leased lands and other real estate assets as collateral.

  • Documented a $4,000,000 fully secured mezzanine loan, with warrants, to finance the acquisition of a printed circuit board company, representing the mezzanine lender.

  • In connection with bankruptcy of Air Canada, negotiated the transfer of ownership of several aircraft from the equity investor to debt investors, documented aircraft trusts, claims trusts, and aircraft management and storage agreements, and negotiated and documented the eventual sale of the aircraft.

  • Represented an affiliate of a California energy utility in the negotiation of the construction, sale and lease financing of four peaking power plants in California.
