Mr. Shimazaki is engaged in a general corporate practice, with particular emphasis on international transactions. He represents clients in the areas of corporate finance and investments, venture capital finance, mergers and acquisitions and joint venture formations.

He has been involved in numerous cross-border transactions between the U.S. and Japan, both outbound and inbound. Representative transactions include assisting Japanese companies in acquisitions of U.S. technology companies, assisting U.S. companies entering the Japanese market through a joint venture or other relationship with a local partner, assisting U.S. startup companies in establishing a strategic alliance with and strategic investment from a Japanese partner, and assisting Japanese companies in the U.S. in their day-to-day activities.

Mr. Shimazaki spent more than seven years in Tokyo where he was licensed as a Foreign Legal Consultant from 1991 through 1998. He was the first foreign lawyer to take an executive position in the Japan Federation of Bar Association.



Representative Matters
  • Representation of Tokyo Electron Limited in its acquisition of the MRC division of Sony Corporation, Supercritical Systems and Timbre Technologies, and the sale of the Eclipse line of business to Metron Technology.
  • Representation of Ukom, Inc., a designer of silicon tuner chips, in its sale to Pixela Corporation.
  • Representation of Toho Technology in the acquisition of the flat panel display profiler business of KLA-Tencor Corporation.
  • Representation of Vodafone with respect to the restructuring and recapitalization of its joint venture interests in the J-Phone group companies, operators of the J-Phone mobile service (now Vodafone K.K.), to finance its 3G build out.
  • Representation of Sazaby, Inc. in the formation of Starbucks Coffee Japan, a joint venture between Sazaby and Starbucks Coffee International to develop, own and operate Starbucks coffee shops in Japan.
