Stephen M. Colangelo is a trial lawyer, who for 30 years has concentrated his practice in complex commercial litigation, including cases involving securities, financial services and intellectual property issues. He handles all types of litigation, including class actions, derivative suits, regulatory enforcement actions, multi-district proceedings and individual private actions. He also has extensive experience with regulatory and internal investigations. He regularly tries cases before judges and juries in the United Sates District Court for the Eastern District of Virginia, known as the “Rocket Docket” because it has one of the fastest trial calendars in the federal system. Mr. Colangelo’s clients have included public companies, banks, mutual funds, broker-dealers and other financial institutions, as well as their officers and directors, and professionals such as accountants and attorneys.
Mr. Colangelo received his J.D. from the University of Virginia School of Law in 1976 and his B.A. from the University of Virginia in 1970. He is a member of the Virginia and District of Columbia bars.
Representative Matters
- Representation of a national bank, a mutual fund, and their officers and directors in the market timing and late trading investigations brought by the Office of the New York Attorney General and the Securities and Exchange Commission, and the defense of the related class actions and derivative suits consolidated in a Multi-District proceeding in the District Court of Maryland, alleging claims under the Securities Act of 1933, the Securities Act of 1934, the Investment Company Act, the Investment Advisers Act and state law.
- Representation of one of the largest manufacturers of vitamin tablets in the Vitamins Antitrust Multi-District Litigation in the District Court for the District of Columbia.
- Defense of a national charity in a jury trial in the Northern District of Illinois in an action alleging the charity infringed a patent covering fund raising on the internet.
- Defense of an investment bank in a putative class action and a related derivative action in Maryland state court alleging misrepresentation in connection with a proxy statement for which the investment bank served as an advisor to the board of a public entity.
- Defense of a mutual fund in a series of class actions based upon the conversion of common trust funds by an affiliated bank and the bank’s investment of fiduciary assets in affiliated mutual funds.
- Representation of a bank in an investigation by the office of the New York Attorney General and the Federal Deposit Insurance Corporation involving alleged violations of the state and federal consumer protection laws arising from the bank’s credit card program.
- Defense of three former officers and directors of a public telecommunications company in an action in the Eastern District of Virginia alleging violations of federal and state securities laws and common law fraud arising from a merger.
