Bruce Mann engages in all aspects of corporate and securities law, including venture capital, public offerings, and mergers and acquisitions. He has been involved in over 200 M&A transactions, over 300 public offerings, and over 100 initial public offerings, more than ten by foreign private issuers.
He represented DSP Group in its acquisition of the cordless and VOIP operations of NXP (formerly Philips Semiconductor), the sale of MediGuide Inc. to St. Jude Medical, and the sale of Mercury Interactive to Hewlett-Packard Corporation.
Complex M&A transactions handled by Mr. Mann include the tax-free spin-off for DSP Group of its Israel-based IP licensing subsidiary, the merger of Xoom.com, SNAP, and the internet businesses of NBC to form NBC Internet, and the acquisition of Frank Russell Company by Northwestern Mutual Life Insurance Company.
In addition, Mr. Mann has advised committees of independent directors of Crowley Maritime, Seagram, Federal Express, Maytag, Lucky Stores, and many other companies. These include a major computer manufacturer regarding allegations made in a contested merger and a major airline regarding a board-level dispute over corporate governance.
He has represented hundreds of high tech and life science companies and their underwriters in initial public offerings, including Intel Corporation, Genentech, JMP Securities, Syneron Medical Ltd., RRSat Global Communications Network, Mellanox Technologies, and public offerings by WR Hambrecht using a Dutch auction rather than the traditional underwriting process.
Mr. Mann serves as the Chair of ABA Business Section's Federal Regulation of Securities Committee, founding Chair of its Venture Capital and Private Equity Committee, and he is a past Chair of the Section's Committee on International Technical Assistance, Membership Committee and Emerging Issues Task Force. He also serves on the council of the ABA Senior Lawyers Division and chairs its strategy investment committee. In 2008, San Francisco Magazine named Mr. Mann one of Northern California's top lawyers in Securities and Corporate Finance, Mergers & Acquisitions, Corporate Governance and Compliance.
Mr. Mann was a Managing Director in charge of Mergers and Acquisitions and Investment banking at L.F. Rothschild, Unterberg, Towbin, and Senior Managing Director at WR Hambrecht + Co.
Mr. Mann was a member of Phi Beta Kappa at University of Wisconsin. At University of Wisconsin Law School, Mr. Mann was Editor of the University of Wisconsin Law Review and was elected to Order of the Coif.
