Bruce Mann has been both a lawyer and an investment banker, focusing on venture capital, corporate finance and mergers and acquisitions. He played an important role in the growth of Silicon Valley, forming major companies such as Intel and advising many leading venture capitalists. He has also represented underwriters and issuers in over two hundred public offerings by high tech and biotech companies.

Mr. Mann served as Senior Managing Director of WR Hambrecht + Co. between 1999 and 2003, and was a Managing Director of L.F. Rothschild, Unterberg, Towbin, in charge of Mergers and Acquisitions and Investment Banking, from 1983 until 1987. He had previously been a partner with Pillsbury, Madison & Sutro, in charge of that firm's securities group.

Mr. Mann Bruce has served as chairman of the ABA Business Section’s Federal Regulation of Securities Committee, its Venture Capital and Private Equity Committee, and its Committee on International Technical Assistance, and the ABA Senior Lawyers Division’s Investment Strategies Committee. He has written and lectured extensively on mergers and acquisitions, venture capital, and other securities law matters and is co-author of California Corporate Practice and Forms (Data Trace Publishing Co., 1999).

In 2004, the San Francisco Magazine named Mr. Mann one of Northern California’s “Super Lawyers” in Securities and Venture Finance, while the 2005-2006 edition of The Best Lawyers in America has listed him for Corporate, M&A, and Securities Law, and the 2007 edition again listed him for Corporate and Securities Law. In addition, Mr. Mann was highly recommended by the 2006 PLC Which Lawyer? Yearbook for Corporate/Mergers & Acquisition Law.



Representative Matters
  • Represented Mercury Interactive in its $4.5 billion acquisition by Hewlett Packard, the largest software industry acquisition in 2006.
  • Represented DSP Group in the tax-free spin off its Israel based IP licensing subsidiary and simultaneous merger of the spun-off entity with an Irish public company traded on the LSE. Required rulings by securities, antitrust and tax regulators in the U.S., U. K., Ireland, Israel and the E.U.
  • Represented issuers and underwriters in over 100 initial public offerings, including more than ten by foreign private issuers.
  • Complex M&A transactions handled by Bruce included the acquisition by DSP Group of the Philips Semiconductor cordless and VoIP terminals business from NXP, the merger of Xoom.com, SNAP and the internet businesses of NBC to form NBC Internet, and the acquisition of Frank Russell Company by Northwestern Mutual Life Insurance Company.
  • Advised committees of independent directors of Crowley Maritime, Seagram, Federal Express, Maytag, Lucky Stores, and many companies where his involvement can not be disclosed to the public. These include a major computer manufacturer regarding allegations made in a contested merger and a major airline regarding a board-level dispute over corporate governance.
  • Represented hundreds of high tech and life science companies and their underwriters in initial public offerings, including Intel Corporation, Genentech, JMP Securities, Syneron Medical Ltd., RRSat Global Communications Network, Mellanox Technologies, and the first public offerings by WR Hambrecht using a Dutch auction rather than the traditional underwriting process.
