Jeannette Filippone is an associate in the Corporate Group of the San Diego office of Morrison & Foerster LLP. Her practice covers a broad range of corporate finance matters, including public and private securities offerings, mergers and acquisitions, securities law compliance, corporate governance, and general corporate matters.
Ms. Filippone graduated, magna cum laude and Order of the Coif, from the University of San Diego School of Law in 2003. During law school she was a member of the San Diego Law Review, and editor of the Journal of Contemporary Legal Issues. Ms. Filippone received a B.A., summa cum laude, from the University of Massachusetts at Boston, and an M.A. from the University of California, San Diego. Ms. Filippone worked in the securities industry for five years before attending law school.

- Represented Kintera, Inc. in its $46M all cash acquisition by Blackbaud through a tender offer.
- Represented webMethods Inc. in its $550M all cash acquisition by Software AG through a tender offer.
- Represented Kratos Defense & Security Solutions in its $90M acquisition of Haverstick Consulting.
- Represented Textainer Group Holdings Limited in its $148.5M initial public offering.
- Represented TouchDown Technologies, Inc. in its $28 million Series D financing.
- Represented Punk Ziegel as underwriters in Aradigm Corporation’s $36M follow-on equity offering.
- Represented Smith Micro Software, Inc. in its $72M public offering and in its acquisitions of Ecutel Systems, Inc. and Insignia Solutions plc.
- Represented Inamed Corporation in its $3.4 billion merger with Allergan Inc.
- Represented Solarflare Communications in its merger of equals with Level 5 Networks and related financing.
- Represented SolarFlare Communications in its February 2005 $48M Series A-1 financing.
- Represented Wireless Facilities in its divestiture of its operations in Mexico.
- Represented MTI Technology Corp. in its acquisition of Collective Technologies.
- Represented Cogent, Inc. in its $248M initial public offering on the NASDAQ National Market in September 2004 and its $322.5 million follow-on equity offering in 2005.
- Represented Crdentia Corp. in its $25 million credit facility and PIPE financing transactions.
- Represented Endocare, Inc. in its $16 million PIPE financing transaction and its divestiture of Timm Medical Technologies, Inc.
- Represented Digirad Corporation in its $66 million initial public offering. Represented Kintera in its acquisition of GivingCapital.
- Represented Needham & Co., Inc. as underwriters in Interlink Electronics Inc.’s public offering.
